Procurement of Professional Human Resources Manager Services

This Purchase Order is issued by Meridian Continental Holdings Ltd. (hereinafter referred to as the "Purchasing Party") to Apex Talent Solutions Nigeria Ltd. (hereinafter referred to as the "Service Provider") for the recruitment, placement, and engagement of a qualified Human Resources Manager to serve at the Purchasing Party's principal office located in Nigeria Lagos. The Human Resources Manager shall be responsible for the full spectrum of human capital management functions, including but not limited to workforce planning, employee relations, compensation and benefits administration, compliance with the Nigerian Labour Act (Cap L1, Laws of the Federation of Nigeria 2004), the National Insurance Act, the Pension Reform Act 2014, and all applicable regulations of the National Industrial Court of Nigeria.

The scope of services covered under this Purchase Order includes the following deliverables:

3.1 This Purchase Order is governed by the laws of the Federal Republic of Nigeria, and any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts in Nigeria Lagos.

3.2 The Service Provider warrants that the Human Resources Manager placed under this Purchase Order shall hold a minimum of a Bachelor's degree in Human Resource Management, Business Administration, or a related discipline from a recognised Nigerian or international institution, and shall possess a valid certification from the Nigerian Institute of Management (NIM) or the Chartered Institute of Personnel and Development (CIPD).

3.3 Payment shall be made in Nigerian Naira (NGN) via bank transfer to the Service Provider's designated account within fourteen (14) calendar days of receipt of a valid tax invoice. The Purchasing Party reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order.

3.4 The Human Resources Manager shall be subject to a standard six-month probationary period in accordance with the Nigerian Labour Act. The Service Provider shall remain liable for any replacement costs should the Human Resources Manager fail to meet performance benchmarks during the probationary period.

3.5 All intellectual property, policies, and documentation created by the Human Resources Manager in the course of performing duties under this Purchase Order shall be the sole property of Meridian Continental Holdings Ltd.

3.6 The Service Provider shall maintain all statutory contributions including pension (minimum 8% employer contribution), National Health Insurance, and Workmen's Compensation Fund for the duration of the engagement.

3.7 This Purchase Order may be amended only by mutual written agreement signed by authorised representatives of both parties. No oral modification shall be valid or enforceable.

3.8 In the event of force majeure, including but not limited to government-mandated shutdowns, epidemics, or civil unrest in Nigeria Lagos, either party may suspend obligations for a period not exceeding sixty (60) days without penalty.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Human Resources Manager services in Nigeria Lagos.
