This Purchase Order formally authorises the engagement of a qualified Human Resources Manager to provide comprehensive people management, workforce planning, and organisational development services to Northgate Industrial Solutions Ltd. The Human Resources Manager shall be responsible for all aspects of employee relations, recruitment and selection, performance management, training and development, compliance with United Kingdom employment legislation, and strategic workforce planning across all Manchester-based operations. The Human Resources Manager will oversee a team of approximately 340 employees across manufacturing, logistics, and administrative functions within the United Kingdom Manchester region.

5.1 This Purchase Order constitutes a binding agreement between Northgate Industrial Solutions Ltd. and the appointed Human Resources Manager for the provision of senior people management services within the United Kingdom Manchester operational area. All terms are governed by the laws of England and Wales.
5.2 The Human Resources Manager shall comply with all applicable United Kingdom employment legislation, including but not limited to the Employment Rights Act 1996, the Equality Act 2010, the Working Time Regulations 1998, and the UK GDPR as it pertains to employee data processing.
5.3 Payment shall be made on a monthly basis in arrears via BACS transfer to the bank account nominated by the Human Resources Manager. The first payment cycle shall commence on 30 September 2025. All payments are subject to standard United Kingdom PAYE deductions where applicable.
5.4 The Human Resources Manager shall be entitled to 25 days of annual leave (excluding United Kingdom public holidays) plus 8 statutory bank holidays, in accordance with the Working Time Regulations. Leave must be scheduled in consultation with the Chief Operating Officer to ensure operational continuity at the Manchester headquarters.
5.5 A probationary period of six (6) months shall apply from the commencement date. During this period, either party may terminate the engagement with four (4) weeks' written notice. Following successful completion of the probationary period, the notice period shall be twelve (12) weeks for the Human Resources Manager and twelve (12) weeks for the employer.
5.6 The Human Resources Manager shall maintain strict confidentiality regarding all employee records, salary data, and organisational strategies. A Non-Disclosure Agreement (NDA) and a restrictive covenant agreement (non-compete period: 12 months, geographic scope: United Kingdom Manchester and surrounding 50-mile radius) shall be executed prior to the commencement date.
5.7 This Purchase Order may be amended only by mutual written agreement between both parties. Any variation to the scope of the Human Resources Manager's duties, compensation, or working location within the United Kingdom Manchester area must be documented as a formal amendment to this Purchase Order.
5.8 In the event of a dispute arising from this Purchase Order, both parties agree to attempt resolution through the ACAS Early Conciliation process before pursuing formal employment tribunal proceedings in Manchester.
The Human Resources Manager's performance shall be assessed quarterly against the following metrics: employee turnover rate (target: below 8% annually), time-to-fill for critical roles (target: under 45 days), employee engagement score (target: above 75% on annual survey), compliance audit score (target: 100% on United Kingdom employment law compliance), and training hours delivered per employee (target: minimum 20 hours annually).
This Purchase Order is issued and authorised by the undersigned on behalf of Northgate Industrial Solutions Ltd. The Human Resources Manager's acceptance of this Purchase Order shall be confirmed by countersignature below, indicating full agreement to all terms, conditions, compensation structures, and performance expectations outlined herein for the United Kingdom Manchester operational base.

This Purchase Order (PO-2025-MAN-00487) is valid for acceptance until 31 July 2025.
