This Purchase Order is issued by Andes Industrial Group, C.A. to formally authorize and procure the professional recruitment, selection, vetting, and onboarding services for the position of Human Resources Manager to be stationed at the principal corporate offices located in Venezuela Caracas. The Supplier shall be responsible for executing a comprehensive executive search and placement process to identify, evaluate, and present qualified candidates for the Human Resources Manager role. The successful candidate will oversee all human capital functions, labor compliance under Venezuelan labor law (Ley Orgánica del Trabajo, los Trabajadores y los Trabajadoras), employee relations, compensation and benefits administration, training and development programs, and strategic workforce planning for the entire Venezuela Caracas operational division, which encompasses approximately 1,200 employees across manufacturing, logistics, and administrative units.
The scope of this Purchase Order includes but is not limited to: publication of the Human Resources Manager vacancy across national and international recruitment platforms; screening of a minimum of 150 qualified applicants; conducting structured behavioral and technical interviews; performing background checks, reference verifications, and psychometric assessments; negotiating compensation packages in compliance with the minimum wage regulations of the Bolivarian Republic of Venezuela; and facilitating the complete onboarding process including the execution of the employment contract, registration with the Instituto Nacional de los Recursos Hidrocarburíferos (INRH) where applicable, and enrollment in the Instituto Venezolano de los Seguros Sociales (IVSS).

- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier shall return a signed copy of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Timeline: The Supplier shall complete the full recruitment and onboarding process for the Human Resources Manager position within a maximum of sixty (60) calendar days from the date of acceptance. The appointed Human Resources Manager must be fully operational at the Venezuela Caracas headquarters no later than August 15, 2025.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 35% upon successful presentation and acceptance of the final Human Resources Manager candidate, and 25% upon completion of the 90-day onboarding period. All payments shall be remitted via wire transfer to the Supplier's designated bank account in Venezuela Caracas.
- Confidentiality: All information pertaining to the Human Resources Manager search, candidate data, compensation structures, and internal organizational matters of Andes Industrial Group, C.A. shall be treated as strictly confidential. The Supplier shall execute a Non-Disclosure Agreement (NDA) prior to commencing any activities under this Purchase Order.
- Compliance: The Supplier guarantees that all recruitment activities conducted under this Purchase Order shall comply with the labor legislation of the Bolivarian Republic of Venezuela, the data protection regulations of Venezuela Caracas, and all applicable anti-discrimination statutes. The Human Resources Manager candidate must hold a valid Venezuelan work permit or citizenship documentation.
- Warranty and Replacement: In the event that the appointed Human Resources Manager resigns, is terminated for cause, or is found to be materially misrepresenting qualifications within the first ninety (90) days of employment, the Supplier shall, at no additional cost, initiate a replacement search for a new Human Resources Manager candidate under the same terms of this Purchase Order.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas, in accordance with the rules of the Cámara de Comercio de Caracas. The governing law shall be the laws of the Bolivarian Republic of Venezuela.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or systemic economic disruptions affecting Venezuela Caracas.
