The engagement of this Industrial Engineer is critical to our ongoing operational optimization program and is governed by the terms set forth in this Purchase Order document.

The Industrial Engineer shall be responsible for conducting comprehensive process analysis, workflow redesign, capacity planning, quality assurance implementation, and lean manufacturing assessments across all production lines. The scope of work includes but is not limited to: time-and-motion studies, bottleneck identification, supply chain efficiency mapping, ergonomics evaluation, and the development of standard operating procedures aligned with ISO 9001:2015 standards as recognized in Argentina Buenos Aires industrial regulations.

• 4.1 This Purchase Order constitutes a binding agreement between Meridian Industrial Solutions S.A. (hereinafter "the Buyer") and Consultores Industriales del Plata S.R.L. (hereinafter "the Vendor") for the provision of Industrial Engineer professional services in Argentina Buenos Aires.
• 4.2 The Industrial Engineer assigned to this Purchase Order must hold a valid professional license (Matrícula) issued by the Colegio de Ingenieros de la Provincia de Buenos Aires and must demonstrate a minimum of eight (8) years of experience in industrial process engineering.
• 4.3 All services shall be performed in compliance with Argentine labor law (Ley de Contrato de Trabajo, Ley 20.744) and applicable regulations of the City of Buenos Aires and the Province of Buenos Aires.
• 4.4 Payment shall be made via bank transfer to the account designated by the Vendor within thirty (30) calendar days of receipt of a valid invoice (Factura A) issued in accordance with AFIP (Administración Federal de Ingresos Públicos) requirements for Argentina Buenos Aires.
• 4.5 The Vendor shall provide a weekly progress report to the Buyer's Operations Director. Failure to deliver reports for two consecutive weeks shall constitute a material breach of this Purchase Order.
• 4.6 The Industrial Engineer shall adhere to all safety protocols, confidentiality agreements, and intellectual property provisions as outlined in the Master Service Agreement (MSA-2024-0112) referenced herein.
• 4.7 This Purchase Order may be amended only by written mutual consent of both parties. Any modification must be documented in a formal addendum signed by authorized representatives.
• 4.8 In the event of dispute, both parties agree to resolve matters through mediation in Buenos Aires, Argentina, in accordance with the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación).

The Industrial Engineer shall commence on-site work no later than 1 July 2025 at the Buyer's facility in Villa Maipú, Buenos Aires. The initial onboarding period of five (5) business days shall be included in the contracted duration. All deliverables, including the final engineering report, must be submitted to the Buyer's project management office within ten (10) business days of the engagement's conclusion.
