- This Purchase Order constitutes a binding agreement between Shree Vardhman Industrial Solutions Pvt. Ltd. (hereinafter "the Buyer") and Apex Process Engineering & Consulting LLP (hereinafter "the Vendor") for the procurement of Industrial Engineer professional services in India Mumbai.
- The Vendor shall assign a qualified and experienced Industrial Engineer, holding a minimum of eight (8) years of relevant experience in manufacturing operations, to execute all deliverables specified in this Purchase Order. The Industrial Engineer's name, credentials, and professional registration number shall be communicated to the Buyer within five (5) business days of Purchase Order acceptance.
- All services shall be performed at the Buyer's facility located in Andheri East, Mumbai, Maharashtra, India, unless otherwise specified in the line items. The Industrial Engineer shall comply with all site safety protocols, local labour regulations of Maharashtra state, and applicable Indian industrial standards.
- Payment shall be processed within thirty (30) days of receipt of a valid tax invoice from the Vendor. The Vendor shall issue invoices in accordance with the GST (Goods and Services Tax) regulations of India. Late payments shall attract interest at 1.5% per month as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if applicable.
- The Vendor warrants that the Industrial Engineer engaged under this Purchase Order shall not be under any conflict of interest, non-disclosure obligation, or competing engagement that may affect the quality or confidentiality of the work performed for the Buyer in India Mumbai.
- All intellectual property, reports, SOPs, process maps, and documentation created by the Industrial Engineer during the course of this engagement shall become the exclusive property of the Buyer upon full and final payment.
- The Vendor shall maintain professional indemnity insurance with a minimum cover of INR 50,00,000 (Fifty Lakh Rupees) for the duration of this Purchase Order. A copy of the insurance certificate shall be submitted prior to commencement of work.
- Either party may terminate this Purchase Order with a written notice of fourteen (14) days. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, as certified by the Industrial Engineer's weekly progress reports.
- This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
- The Vendor shall ensure that the Industrial Engineer and any supporting staff comply with all data protection and confidentiality obligations. No proprietary information of the Buyer shall be disclosed to any third party without prior written consent.
1. This Purchase Order is valid for acceptance within fifteen (15) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
2. The Vendor shall confirm acceptance by signing and returning a copy of this Purchase Order to the Buyer's procurement department in Mumbai.
3. Any amendments or change orders to this Purchase Order must be issued in writing and signed by both parties. Verbal modifications shall not be valid.
4. The Industrial Engineer shall report directly to Mr. Rajesh Kulkarni (Head of Operations) and shall submit all progress updates via the Buyer's project management portal.
