5.1 Payment Terms: Payment for this Purchase Order shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of the on-site Industrial Engineer fieldwork in Italy Rome, and 30% upon delivery and acceptance of the final technical report. All payments shall be made via bank transfer to the Supplier's designated IBAN account in accordance with Italian commercial banking regulations.
5.2 Performance Period: The Industrial Engineer services shall commence on 01 September 2025 and shall be completed no later than 31 December 2025. All on-site work shall be conducted at the Buyer's premises in Rome, Italy, during standard business hours (08:00–17:00 CET), Monday through Friday, excluding Italian public holidays as defined by the national calendar of the Republic of Italy.
5.3 Professional Qualifications: The Industrial Engineer assigned to this Purchase Order must hold a recognized degree in Industrial Engineering (Laurea in Ingegneria Industriale) from an Italian or EU-accredited university, possess a minimum of ten (10) years of professional experience in manufacturing and logistics operations, and be registered with the Italian Order of Engineers (Ordine degli Ingegneri) of the Province of Rome. The Supplier shall provide proof of registration prior to commencement of work.
5.4 Compliance and Legal Obligations: All services rendered under this Purchase Order shall comply with the Italian Civil Code, the Italian Workers' Safety Act (D.Lgs. 81/2008), applicable EU regulations, and all local ordinances of the Comune di Roma. The Industrial Engineer shall adhere to all site-specific safety protocols established by the Buyer at each facility in Italy Rome.
5.5 Confidentiality: The Supplier and the assigned Industrial Engineer shall treat all proprietary data, production metrics, and operational information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in accordance with Italian data protection law (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR).
5.6 Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved exclusively by the competent courts of Rome, Italy. The parties agree to attempt mediation through the Chamber of Commerce of Rome (Camera di Commercio di Roma) before initiating any judicial proceedings.
5.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the city of Rome, Italy, as determined under Italian contract law.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Industrial Engineer services to be executed in Italy Rome. This document constitutes a binding commercial agreement under the laws of the Republic of Italy.
