This Purchase Order authorizes the engagement of qualified Industrial Engineer professionals to deliver comprehensive operational improvement services at the Kanto Precision Manufacturing facility located in Japan Tokyo. The Industrial Engineer(s) assigned under this Purchase Order shall be responsible for conducting a full operational audit of all production lines, implementing lean manufacturing methodologies, redesigning factory floor layouts to maximize throughput, and establishing robust quality control frameworks aligned with JIS (Japanese Industrial Standards) requirements.

All deliverables, including process maps, time-and-motion studies, capacity planning reports, and ergonomic assessments, must be submitted in both Japanese and English. The Industrial Engineer must maintain a minimum of 90% on-site presence at the Japan Tokyo facility during the contracted period. Any remote work must be pre-approved in writing by the Buyer's Operations Director.

5.1 Payment Terms: Net 45 days from invoice date. Payment shall be made via international wire transfer in Japanese Yen (JPY) to the account specified in Section 2. Late payments shall incur a penalty of 1.5% per month.

5.2 Delivery / Service Commencement: The Industrial Engineer shall commence on-site work in Japan Tokyo no later than July 1, 2025. A mobilization period of 10 business days is permitted for visa processing, accommodation setup, and initial orientation.

5.3 Visa & Immigration: The Buyer shall provide a Certificate of Eligibility (COE) and sponsor a Business Manager visa for the Industrial Engineer. All visa-related government fees are the Buyer's responsibility. The Supplier shall ensure the Industrial Engineer holds valid travel documents.

5.4 Accommodation & Relocation: The Buyer shall provide corporate housing in the Japan Tokyo metropolitan area (Chiyoda or Chuo ward) and a one-time relocation allowance of ¥500,000 per Industrial Engineer.

5.5 Intellectual Property: All process documentation, optimization models, and proprietary methodologies developed by the Industrial Engineer during the term of this Purchase Order shall become the exclusive property of Kanto Precision Manufacturing Co., Ltd.

5.6 Confidentiality: The Industrial Engineer shall sign a Non-Disclosure Agreement (NDA) compliant with Japan's Act on the Protection of Trade Secrets prior to commencing work in Japan Tokyo. Breach of confidentiality shall result in immediate termination and liquidated damages of ¥10,000,000.

5.7 Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination by the Buyer without cause, 50% of the remaining contract value shall be paid as compensation to the Industrial Engineer and Supplier.

5.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) in Japan Tokyo.

5.9 Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes and typhoons common to Japan Tokyo), government mandates, or pandemics, provided written notice is given within 5 business days.

This Purchase Order is valid for acceptance within 10 business days of the issue date. The Supplier's written acknowledgment of this Purchase Order constitutes full acceptance of all terms, conditions, and scope of work described herein. No modifications to this Purchase Order shall be valid unless executed in writing by both parties.
