This Purchase Order is issued by Veldhoven Industrial Solutions B.V. (hereinafter referred to as the "Buyer") to Delta Process Consulting Group B.V. (hereinafter referred to as the "Supplier") for the provision of specialized Industrial Engineer services. The Buyer requires the engagement of a qualified Industrial Engineer to conduct a comprehensive process optimization, workflow analysis, and operational efficiency review across the Buyer's manufacturing and logistics facilities located in Netherlands Amsterdam.
The Industrial Engineer shall be responsible for, but not limited to: conducting time-and-motion studies, designing lean manufacturing workflows, implementing Six Sigma improvement methodologies, performing capacity planning analyses, developing standard operating procedures, and delivering a final optimization report with actionable recommendations. All services under this Purchase Order shall be performed on-site at the Buyer's premises in Netherlands Amsterdam unless otherwise agreed in writing by both parties.

The Industrial Engineer shall commence services on or before 1 July 2025 at the Buyer's primary facility located at Eerste Oosterdokskade 150, 1011 DK, Netherlands Amsterdam. The full scope of services described in this Purchase Order shall be completed no later than 30 September 2025
. The Supplier guarantees that the assigned Industrial Engineer holds a minimum of eight (8) years of professional experience in process engineering, operations research, and manufacturing systems design, and is registered with the Dutch Engineering Society (KIVI).- Payment shall be made within thirty (30) calendar days from the date of a valid invoice issued by the Supplier, in accordance with the terms set forth in this Purchase Order.
- Payment shall be made via SEPA bank transfer to the Supplier's designated account: IBAN NL91 ABNA 0417 1643 00, BIC ABNANL2A, held at ABN AMRO Bank, Netherlands Amsterdam.
- A 10% retention shall be withheld from the final invoice until the Buyer has received and approved the complete optimization report and all supporting documentation.
- All prices stated in this Purchase Order are in Euros (EUR) and are inclusive of all applicable Dutch statutory levies, excluding VAT as separately itemized.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent court in Netherlands Amsterdam.
- The Supplier warrants that the Industrial Engineer assigned to this engagement shall comply with all applicable Dutch labor regulations, occupational health and safety standards (Arbowet), and data protection requirements under the GDPR as implemented in the Netherlands (UAVG).
- All intellectual property, process models, reports, and documentation created by the Industrial Engineer in the course of performing services under this Purchase Order shall become the sole property of the Buyer upon full payment.
- The Supplier shall maintain professional liability insurance with a minimum coverage of €2,500,000 for the duration of the engagement in Netherlands Amsterdam.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Industrial Engineer up to the effective date of termination.
- The Supplier shall not subcontract any portion of the Industrial Engineer services without prior written consent from the Buyer.
- Confidentiality: Both parties agree to treat all information exchanged under this Purchase Order as strictly confidential and shall not disclose such information to third parties without mutual written agreement.
By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and scope of work outlined in this Purchase Order for the engagement of an Industrial Engineer in Netherlands Amsterdam. This document constitutes a binding agreement upon execution by both authorized representatives.
