This Purchase Order is issued by Meridian Industrial Solutions Ltd. to engage a qualified Industrial Engineer to deliver comprehensive process optimisation, systems design, and operational improvement services at our manufacturing facility located in New Zealand Auckland. The Industrial Engineer shall be responsible for the following deliverables and activities as outlined in this Purchase Order:

- This Purchase Order constitutes a binding agreement between Meridian Industrial Solutions Ltd. (hereinafter "the Purchaser") and Apex Process Engineering & Consulting Ltd. (hereinafter "the Supplier") for the provision of Industrial Engineer professional services in New Zealand Auckland.
- The Industrial Engineer engaged under this Purchase Order must hold a valid Professional Engineer (PE) registration with Engineers New Zealand and maintain professional indemnity insurance of no less than NZD 5,000,000 for the duration of the engagement.
- All work performed under this Purchase Order shall comply with the New Zealand Health and Safety at Work Act 2015, the Building Act 2004, and all applicable local council regulations within the Auckland Council jurisdiction in New Zealand Auckland.
- The Industrial Engineer shall submit a detailed project plan within five (5) business days of the commencement date specified in this Purchase Order. The project plan must include milestones, resource allocation, and a risk register specific to the New Zealand Auckland site.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (MISP-2025-04871) and be submitted to the Purchaser's accounts payable department in New Zealand Auckland.
- The Supplier warrants that all deliverables produced by the Industrial Engineer shall be original work, free from intellectual property infringement, and shall meet the Australian/New Zealand Standard AS/NZS 4360:2004 for risk management and AS/NZS 4801:2001 for occupational health and safety management.
- Any variation to the scope of work defined in this Purchase Order must be agreed in writing by both parties prior to execution. Variations exceeding 10% of the total Purchase Order value require a formal amendment to this document.
- The Industrial Engineer shall maintain confidentiality of all proprietary information, trade secrets, and operational data encountered during the engagement at the New Zealand Auckland facility. This obligation survives termination of this Purchase Order for a period of three (3) years.
- This Purchase Order is governed by and shall be construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland in accordance with the New Zealand Disputes Resolution Act 2010 before proceeding to the District Court.
- The Purchaser reserves the right to terminate this Purchase Order with fourteen (14) days written notice in the event of material breach by the Supplier or the Industrial Engineer, including but not limited to failure to meet agreed milestones or non-compliance with safety regulations at the New Zealand Auckland site.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order for the engagement of the Industrial Engineer in New Zealand Auckland.
