This Purchase Order is issued by Meridian Process Solutions Pte. Ltd. (hereinafter referred to as the "Purchaser") to formally engage the services of Apex Industrial Consulting Group Pte. Ltd. (hereinafter referred to as the "Vendor") for the provision of a qualified Industrial Engineer to support operational optimisation, process improvement, and manufacturing efficiency initiatives at the Purchaser's facilities located in Singapore Singapore. This Purchase Order constitutes a binding agreement between both parties and shall be governed by the laws of the Republic of Singapore.

The Vendor shall deploy a senior Industrial Engineer with a minimum of ten (10) years of relevant experience in manufacturing systems, lean operations, and supply chain optimisation. The Industrial Engineer shall be physically present at the Purchaser's primary facility in Singapore Singapore for a minimum of five (5) working days per week. The scope of the Industrial Engineer's responsibilities under this Purchase Order includes, but is not limited to, the following:

• Conducting comprehensive time-and-motion studies across all production lines in Singapore Singapore to identify bottlenecks and recommend corrective actions.
• Designing and implementing lean manufacturing frameworks, including 5S methodology, value stream mapping, and continuous improvement (Kaizen) programmes.
• Developing standard operating procedures (SOPs) and work instruction documentation for all assembly and packaging operations.
• Performing capacity planning and workforce allocation analyses to ensure optimal utilisation of human and capital resources.
• Collaborating with the Purchaser's quality assurance team to reduce defect rates and improve first-pass yield metrics.
• Preparing monthly progress reports and quarterly strategic recommendations for senior management in Singapore Singapore.
• Providing training and upskilling sessions for the Purchaser's in-house operations staff on industrial engineering best practices.

All payments under this Purchase Order shall be made in Singapore Dollars (SGD) via bank transfer to the Vendor's designated account. The Purchaser shall remit payment within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Vendor. The monthly professional fee for the Industrial Engineer shall be invoiced on the first business day of each month for the preceding month's services rendered in Singapore Singapore. The one-time process audit fee shall be invoiced upon completion and sign-off of the audit report. The training programme fees shall be invoiced in two equal instalments: 50% upon scheduling confirmation and 50% upon completion of the final session.

1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
2. Confidentiality: The Industrial Engineer engaged under this Purchase Order shall be bound by a strict non-disclosure agreement. All proprietary data, process parameters, and operational metrics of the Purchaser obtained during the engagement in Singapore Singapore shall remain the exclusive property of the Purchaser.
3. Performance Standards: The Vendor warrants that the Industrial Engineer deployed shall hold a recognised degree in Industrial Engineering or a closely related discipline and shall possess valid professional registration where applicable in Singapore Singapore. Failure to meet the agreed performance KPIs for two consecutive months shall entitle the Purchaser to terminate this Purchase Order with fourteen (14) days' written notice.
4. Insurance: The Vendor shall maintain comprehensive professional indemnity insurance with a minimum coverage of SGD 2,000,000 for the duration of this Purchase Order, valid throughout Singapore Singapore.
5. Intellectual Property: All reports, process designs, SOPs, and improvement methodologies developed by the Industrial Engineer specifically for the Purchaser under this Purchase Order shall be the sole intellectual property of the Purchaser upon full payment.
6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable only for services rendered up to the effective date of termination.
7. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Industrial Engineer in Singapore Singapore. This Purchase Order becomes effective upon execution by both authorised representatives.

Important Note: This Purchase Order (PO-2025-IE-00487) is valid for a period of ninety (90) days from the date of issue. If the Vendor does not accept this Purchase Order within the validity period, the Purchaser reserves the right to withdraw or modify the terms. All communications regarding this Purchase Order, including amendments, change orders, and correspondence related to the Industrial Engineer's performance in Singapore Singapore, shall be directed to the procurement department of the Purchaser at the address stated above. This document is printed in duplicate, with one copy retained by each party.
