This Purchase Order is issued by Industrial Solutions Iberia, S.L. (hereinafter referred to as the "Buyer") to Engineering Talent Partners, S.A. (hereinafter referred to as the "Supplier") for the provision of a qualified Industrial Engineer to be deployed at the Buyer's manufacturing and logistics facility located in Spain Madrid, specifically within the Polígono Industrial Sur, Calle de los Ingenieros 44, 28943 Fuenlabrada, Madrid, Spain. The Industrial Engineer shall be responsible for process optimisation, production line efficiency analysis, quality control system implementation, and operational workflow redesign across all active production units. This Purchase Order constitutes a binding agreement for the services described herein and shall be governed by the laws of the Kingdom of Spain, with jurisdiction vested in the courts of Madrid.
The Industrial Engineer engaged under this Purchase Order shall possess a minimum of five (5) years of professional experience in manufacturing process engineering, lean manufacturing methodologies, and supply chain optimisation. The candidate must hold a recognised degree in Industrial Engineering (Ingeniería Industrial) from an accredited Spanish or European university and must be fully registered with the relevant professional college in Madrid. The Industrial Engineer shall report directly to the Plant Operations Director and shall work full-time (40 hours per week, Monday to Friday) at the designated facility in Spain Madrid. The scope of work includes but is not limited to: conducting time-and-motion studies, designing and implementing 5S and Kaizen improvement programmes, performing capacity planning and bottleneck analysis, developing standard operating procedures, and preparing monthly efficiency reports for senior management.

The Industrial Engineer shall commence duties no later than 1 September 2025 at the Buyer's facility in Spain Madrid. The Supplier shall ensure that all contractual, social security (Seguridad Social), and tax registration formalities required under Spanish labour law (Estatuto de los Trabajadores, Real Decreto Legislativo 2/2015) are completed prior to the commencement date. The Supplier warrants that the Industrial Engineer assigned under this Purchase Order shall be exclusively dedicated to the Buyer's operations in Spain Madrid for the duration of the contract term and shall not be simultaneously assigned to any other client or project without prior written consent from the Buyer.
- 5.1 This Purchase Order is subject to the Buyer's standard General Terms and Conditions of Procurement, which are incorporated herein by reference. In the event of any conflict between the terms of this Purchase Order and the General Terms, the terms of this Purchase Order shall prevail.
- 5.2 Payment shall be made via bank transfer (SEPA) to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established under Ley 3/2004 on the fight against late payment in commercial transactions.
- 5.3 The Supplier shall maintain full professional indemnity insurance and employer's liability insurance covering the Industrial Engineer for the entire duration of the engagement in Spain Madrid, with a minimum coverage of EUR 1,000,000 per claim.
- 5.4 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance KPIs, or if the Industrial Engineer is found to be unsuitable for the role. Upon termination, the Buyer shall be liable only for services rendered up to the effective date of termination.
- 5.5 All intellectual property, process documentation, and improvement methodologies developed by the Industrial Engineer during the course of this engagement shall be the exclusive property of the Buyer. The Supplier and the Industrial Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work in Spain Madrid.
- 5.6 The Supplier shall comply with all applicable Spanish and European health, safety, and environmental regulations at the Spain Madrid facility, including but not limited to Real Decreto 39/1997 on occupational risk prevention.
- 5.7 Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal modifications shall be null and void.
- 5.8 This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be resolved by the competent courts of Madrid, Spain.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the provision of the Industrial Engineer services at the designated location in Spain Madrid. This document, once executed, shall serve as the definitive procurement record for the referenced project.
