This Purchase Order is issued by Gulf Coast Energy & Manufacturing Group, LLC (hereinafter referred to as the "Buyer") to Apex Industrial Consulting Partners, Inc. (hereinafter referred to as the "Seller") for the engagement of a qualified Industrial Engineer to provide comprehensive process optimization, operational efficiency analysis, and manufacturing systems design services. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the professional services rendered by the Industrial Engineer in the Houston, United States metropolitan area. The Industrial Engineer shall be assigned to the Buyer's primary manufacturing and logistics facilities located in the Houston, Texas region of the United States, where the majority of the Buyer's industrial operations are conducted.
The Seller shall provide the Buyer with the full-time professional services of a certified Industrial Engineer holding a minimum of eight (8) years of progressive experience in industrial operations, systems engineering, and process improvement. The Industrial Engineer shall be responsible for the following core deliverables and responsibilities:
- Conducting comprehensive time-and-motion studies across all production lines at the Buyer's Houston, United States facilities to identify bottlenecks and recommend corrective actions.
- Designing and implementing lean manufacturing methodologies, including Six Sigma, Total Productive Maintenance (TPM), and Just-in-Time (JIT) inventory systems tailored to the specific operational environment of the Houston industrial corridor.
- Developing facility layout optimization plans for the Buyer's 340,000 square-foot manufacturing plant in the Houston Ship Channel area, United States.
- Performing workforce capacity planning and labor standards development in compliance with all applicable federal and Texas state labor regulations.
- Creating and maintaining standard operating procedures (SOPs) for all production and quality assurance processes.
- Providing monthly performance reports and quarterly strategic recommendations to the Buyer's senior management team in Houston, United States.
- Collaborating with the Buyer's IT department to integrate industrial data analytics platforms and real-time monitoring systems.

Payment shall be made via wire transfer to the Seller's designated bank account in Houston, United States, within thirty (30) days of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any deliverables that do not meet the specifications outlined in this Purchase Order. All amounts are stated in United States Dollars (USD) and are subject to applicable Texas state and federal tax obligations.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas and the applicable federal laws of the United States.
- The Industrial Engineer shall maintain all necessary professional certifications, including but not limited to PE (Professional Engineer) licensure in the State of Texas and any relevant Six Sigma Black Belt or Lean Six Sigma credentials.
- The Seller warrants that the Industrial Engineer shall not be engaged in any conflict of interest with other entities operating in the Houston, United States industrial sector during the term of this Purchase Order.
- All intellectual property, process designs, and analytical reports produced by the Industrial Engineer under this Purchase Order shall become the sole property of the Buyer upon full payment.
- Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered up to the effective date of termination.
- The Industrial Engineer shall comply with all OSHA regulations, site safety protocols, and environmental compliance standards applicable to industrial operations in Houston, United States.
- Disputes arising from this Purchase Order shall be resolved through binding arbitration in Harris County, Houston, Texas, United States, in accordance with the rules of the American Arbitration Association.
