This Purchase Order is issued by Saigon Manufacturing & Logistics Co., Ltd. to formally request the engagement of a qualified Industrial Engineer to provide specialized process optimization, production line design, and operational efficiency consulting services at our manufacturing facility located in Vietnam Ho Chi Minh City. This Purchase Order constitutes a binding procurement document in accordance with the commercial terms agreed upon by both parties and complies with the regulations of the Ministry of Industry and Trade of the Socialist Republic of Vietnam.
The Industrial Engineer engaged under this Purchase Order shall perform the following duties at the buyer's facility in Vietnam Ho Chi Minh City:

All services rendered under this Purchase Order shall be performed at the buyer's primary manufacturing and logistics facility situated at 128 Nguyen Van Linh Street, District 7, Vietnam Ho Chi Minh City, 700000, Vietnam. The Industrial Engineer is expected to be physically present on-site for a minimum of five (5) working days per week, Monday through Friday, from 08:00 to 17:00 local time. Any off-site consulting, remote analysis, or travel to secondary locations within Vietnam Ho Chi Minh City metropolitan area shall be pre-approved in writing by the Procurement Director.
Payment for this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made via bank transfer to the supplier's designated account. The supplier shall issue a valid Vietnamese VAT invoice (Hóa đơn giá trị gia tăng) for each payment tranche. Late payments shall incur a penalty of 0.05% per day of delay as stipulated under Vietnamese commercial law.
- Qualification of Industrial Engineer: The Industrial Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Industrial Engineering or a closely related discipline from an accredited university, possess at least five (5) years of relevant experience in manufacturing or logistics environments, and be a licensed professional engineer registered with the Vietnam Engineers Association. The Industrial Engineer must demonstrate proficiency in Lean Manufacturing, Six Sigma (minimum Green Belt certification), AutoCAD, SAP, and statistical process control tools.
- Compliance with Local Regulations: All services performed in Vietnam Ho Chi Minh City shall comply with the Labor Code of Vietnam (2019), the Law on Foreign Investment, and all applicable municipal regulations of Vietnam Ho Chi Minh City. The supplier is responsible for obtaining any necessary work permits, visas, or professional registrations for the Industrial Engineer if the assigned professional is a foreign national.
- Intellectual Property: All reports, process designs, standard operating procedures, and documentation produced by the Industrial Engineer under this Purchase Order shall become the exclusive property of the buyer upon full payment. The Industrial Engineer shall not replicate, distribute, or use such materials for any other client without written consent.
- Confidentiality: The Industrial Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary data, production figures, and operational details of the buyer's facility in Vietnam Ho Chi Minh City shall be treated as strictly confidential.
- Performance Standards: The Industrial Engineer shall deliver all milestones as outlined in the project timeline. Failure to meet agreed-upon deliverables without valid justification may result in a 5% deduction per week of delay from the corresponding payment tranche under this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date. The Industrial Engineer shall return all company property, data, and documentation within five (5) business days of termination.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Commercial Arbitration Center of Vietnam (VIAC) in Vietnam Ho Chi Minh City for binding arbitration.
- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. If not accepted within this period, the Purchase Order shall automatically expire and must be reissued.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Industrial Engineer in Vietnam Ho Chi Minh City. This document, once countersigned, shall serve as the definitive procurement record for the described professional services.
