3. Scope of Work & Deliverables
This Purchase Order is issued by Prothom Sangbad Media Group Ltd. to engage the above-named Journalist for the purpose of producing original, verified, and ethically sourced journalistic content. The Journalist shall adhere to the Bangladesh Press Council Code of Ethics and the internal editorial guidelines of the contracting organization. All deliverables must be submitted to the Newsroom Manager at the Banani office, Bangladesh Dhaka, no later than 30 June 2025. The Journalist retains full copyright of the original reporting but grants the company a perpetual, non-exclusive license to publish, reproduce, and distribute the content across all owned media platforms (print, digital, and broadcast) within Bangladesh and internationally.
4. Terms and Conditions
- This Purchase Order becomes binding upon written acceptance by the Journalist and countersignature by the authorized procurement officer of the company.
- The Journalist shall not disclose the identity of confidential sources, internal company data, or unpublished editorial material to any third party. Breach of this clause shall render the Journalist liable for legal action under the Bangladesh Information and Communication Technology Act, 2006.
- All work must be completed within the Bangladesh Dhaka metropolitan area unless prior written approval is obtained for out-of-district reporting.
- Payment shall be processed within thirty (30) calendar days of receipt of the final, approved deliverable and a valid tax invoice. Late payment shall attract interest at 1.5% per month as per Bangladesh banking regulations.
- The Journalist is engaged as an independent contractor and not as an employee. No employer-employee relationship is created by this Purchase Order. The Journalist shall be responsible for all personal tax obligations under the Bangladesh Inland Revenue Board.
- Any revision or additional scope beyond the items listed in Section 2 must be documented in a formal Purchase Order amendment signed by both parties.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001.
- The Journalist shall carry valid professional indemnity insurance for the duration of the engagement. A copy of the insurance certificate must be submitted prior to commencement of fieldwork.
- This Purchase Order may be terminated by either party with fourteen (14) days' written notice. In the event of termination, the Journalist shall be compensated for work completed and verified up to the date of termination.
5. Delivery & Acceptance
All deliverables under this Purchase Order shall be submitted electronically (via the company's secure file-transfer portal) and in hard copy to the following address: Newsroom Manager, Prothom Sangbad Media Group Ltd., House 42, Road 11, Banani, Bangladesh Dhaka-1213. Acceptance of deliverables shall be confirmed in writing within five (5) business days of submission. Failure to respond within this period shall constitute deemed acceptance.
