This Purchase Order is issued by Nile Delta Media Group S.A.E. to formally engage the services of the above-named Journalist, Mr. Ahmed Hassan El-Sayed, for the production of a series of investigative and feature articles covering economic policy, urban development, and cultural heritage topics within Egypt Cairo and its surrounding governorates. The engagement is governed by the terms set forth in this document and the master service agreement dated 01 March 2025 (Reference: NDMG-MSA-2025-003).
The Journalist shall deliver a minimum of twelve (12) long-form articles (each not fewer than 2,500 words) over a period of six (6) months, commencing 01 July 2025 and concluding 31 December 2025. All reporting, interviews, and on-site investigations shall be conducted in Egypt Cairo, with particular emphasis on the districts of Downtown Cairo, Maadi, Heliopolis, and the newly established New Administrative Capital.

Payment for this Purchase Order shall be made in three (3) equal installments of EGP 107,236 each, due on the following schedule:
- First Installment: Due within fifteen (15) business days of the date of this Purchase Order, payable to the Journalist's designated bank account at Commercial International Bank (CIB), Cairo branch.
- Second Installment: Due upon delivery and editorial acceptance of articles 1 through 6, no later than 30 September 2025.
- Third Installment: Due upon delivery and editorial acceptance of articles 7 through 12, no later than 31 December 2025.
All payments shall be processed in Egyptian Pounds (EGP) via bank transfer. Late payments shall accrue interest at the rate of 2% per month in accordance with Egyptian commercial law.
- Intellectual Property: Upon full payment, all rights to the published articles, photographs, and recorded materials produced by the Journalist shall transfer to Nile Delta Media Group. The Journalist retains the right to display the work in a personal portfolio with prior written consent.
- Compliance with Egyptian Law: All reporting activities conducted in Egypt Cairo shall comply with the Egyptian Press Law (Law No. 92 of 1996, as amended), the Egyptian Penal Code, and all regulations issued by the Supreme Press Council. The Journalist warrants that his valid press card (EGY-JRN-2019-00482) shall remain in good standing throughout the term of this Purchase Order.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding unpublished sources, internal editorial strategies, and any proprietary information of Nile Delta Media Group. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-imposed restrictions on media operations in Egypt Cairo, natural disasters, or public health emergencies.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt.
- Deliverable Standards: All articles must meet the editorial standards of Nile Delta Media Group, including factual accuracy, proper attribution of sources, and adherence to the Cairo-based editorial style guide (Version 4.2, updated January 2025).
This Purchase Order becomes effective upon signature by both parties. The Journalist acknowledges receipt of this document and agrees to the terms outlined above. By signing, the Journalist confirms that all reporting activities will be conducted professionally and in full compliance with the media regulations applicable in Egypt Cairo.
