This Purchase Order is issued by Mesaal Media Group & Broadcasting Network to formally engage the services of Mr. Karim H. Al-Dulaimi, a licensed and accredited Journalist operating within the city of Iraq Baghdad, for the purpose of producing, reporting, and delivering high-quality journalistic content for the company's television broadcast, digital news platform, and print publication. The Journalist shall perform all duties in accordance with the professional standards of the Iraqi Press and Media Council and in full compliance with the laws of the Republic of Iraq.

- Scope of Work: The Journalist shall perform all journalistic duties as outlined in Section 3 of this Purchase Order. All reporting, editorial content, and broadcast material shall be produced in accordance with the editorial guidelines of Mesaal Media Group and the professional code of ethics established by the Iraqi Press and Media Council. The Journalist is expected to maintain the highest standards of accuracy, impartiality, and professional integrity while operating in Iraq Baghdad.
- Compliance with Iraqi Law: The Journalist acknowledges and agrees to comply with all applicable laws and regulations of the Republic of Iraq, including but not limited to the Press and Media Law No. 21 of 2016, the Personal Data Protection regulations, and all security protocols in force in Iraq Baghdad. The Journalist shall maintain a valid press card issued by the Iraqi Press and Media Council throughout the duration of this Purchase Order.
- Payment Schedule: Payment shall be made in monthly installments of USD 6,791.67, due within thirty (30) calendar days of the Journalist's submission of a valid invoice at the end of each calendar month. All payments shall be made via bank transfer to the account designated by the Journalist. Late payments shall incur a penalty of 1.5% per month.
- Security and Safety: Given the operational environment in Iraq Baghdad, the Journalist shall adhere to all security protocols established by Mesaal Media Group. The company shall provide a dedicated security coordinator for all field assignments. The Journalist shall report to the security coordinator prior to and following every field assignment. In the event of a security emergency, the Journalist shall follow the company's emergency evacuation and communication procedures without delay.
- Intellectual Property: All journalistic content, including but not limited to written articles, video recordings, photographs, audio files, and broadcast segments produced by the Journalist under this Purchase Order, shall be the exclusive property of Mesaal Media Group. The Journalist retains the right to be credited as the author or reporter of all published and broadcast material.
- Confidentiality: The Journalist shall maintain strict confidentiality regarding all unpublished information, source identities, internal company strategies, and any sensitive material encountered during the course of journalistic work in Iraq Baghdad. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Journalist shall deliver all completed and in-progress work product to the company within seven (7) days.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in accordance with the rules of the Iraqi Arbitration Law, with the seat of arbitration in Baghdad, Iraq. The governing law of this Purchase Order shall be the laws of the Republic of Iraq.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to armed conflict, government-imposed curfews, natural disasters, or pandemics affecting operations in Iraq Baghdad. The affected party shall notify the other party within forty-eight (48) hours of the occurrence.
- Insurance: The Journalist shall maintain personal medical insurance and professional liability insurance throughout the term of this Purchase Order. The company shall provide supplemental security and evacuation insurance for all field assignments conducted in Iraq Baghdad and approved secondary locations.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Journalist's professional services in Iraq Baghdad for the duration specified herein.
