This Purchase Order is issued by Kansai Media Group Co., Ltd. to formally engage the services of the above-named Journalist for a period of twelve (12) consecutive weeks commencing 1 July 2025 and concluding 28 September 2025. The Journalist shall be based in Japan Osaka and shall produce a minimum of twenty-four (24) long-form investigative and feature articles covering economic development, technological innovation, and cultural heritage topics specific to the Japan Osaka metropolitan region and the broader Kansai area.

The Journalist is expected to conduct on-site reporting, interviews with local government officials, industry leaders, and community stakeholders within Japan Osaka. All deliverables must be submitted in both English and Japanese, formatted according to the editorial standards of Kansai Media Group. The Journalist shall also attend a minimum of four (4) press conferences and public events held in Japan Osaka during the engagement period, providing real-time coverage and post-event analysis.

All rates are quoted in Japanese Yen (JPY). Payment shall be processed via bank transfer to the account designated by the Journalist.

Payment for this Purchase Order shall be made in three (3) equal installments: (a) 40% upon execution of this Purchase Order and confirmation of the Journalist's engagement; (b) 35% upon delivery and editorial approval of the twelfth (12th) article; and (c) the remaining 25% upon final delivery of all deliverables and completion of the engagement period. Invoices shall be submitted to the procurement department of Kansai Media Group in Japan Osaka no later than five (5) business days prior to the due date of each installment. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

(a) The Journalist warrants that all content produced under this Purchase Order shall be original, factually accurate, and free from any third-party intellectual property claims. The Journalist shall comply with all applicable Japanese media regulations, including the Press Code of Ethics as administered by the Japan Osaka Press Association.

(b) The Journalist shall maintain full professional indemnity insurance with a minimum coverage of JPY 50,000,000 for the duration of the engagement in Japan Osaka.

(c) Kansai Media Group retains full editorial rights over all deliverables. The Journalist may not republish, syndicate, or distribute any content produced under this Purchase Order without prior written consent from the Buyer.

(d) Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Journalist shall be compensated for all work completed and approved up to the date of termination.

(e) All disputes arising from this Purchase Order shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association.

(f) The Journalist shall adhere to all workplace safety protocols and data protection regulations applicable in Japan Osaka, including the handling of personal information in accordance with the Act on the Protection of Personal Information (APPI).

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Journalist in Japan Osaka. This document constitutes a binding agreement effective from the date of the last signature.
