- This Purchase Order constitutes a binding agreement between Grupo Editorial del Pacífico, S.A. de C.V. (hereinafter "the Buyer") and the undersigned Journalist (hereinafter "the Service Provider") for the provision of professional journalism services as described in the line items above.
- All services rendered under this Purchase Order shall be performed in accordance with the ethical standards established by the Mexican Press Council (Consejo de la Prensa Mexicana) and applicable federal and local press regulations in Mexico, Mexico City.
- The Journalist warrants that all content produced under this Purchase Order shall be original, free of plagiarism, and shall not infringe upon any intellectual property rights of third parties. The Journalist shall indemnify the Buyer against any claims arising from breach of this warranty.
- Delivery of all written articles, photographic materials, and audio files shall be made electronically to the Buyer's editorial department at the address specified in this Purchase Order. Physical copies, if requested, shall be delivered to the Buyer's offices in Mexico, Mexico City at no additional cost.
- The Journalist shall maintain full editorial independence in the gathering and presentation of facts. The Buyer reserves the right to request reasonable revisions for factual accuracy but shall not dictate editorial opinion or narrative structure.
- Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice (factura) issued by the Journalist in compliance with SAT (Servicio de Administración Tributaria) regulations. Late payments shall accrue interest at the rate established by Mexican commercial law.
- The Journalist shall carry professional liability insurance with a minimum coverage of MXN $500,000 for the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.
- All personal data collected during the course of this engagement shall be handled in strict compliance with the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and the applicable regulations of Mexico, Mexico City.
- This Purchase Order may be amended only by mutual written agreement of both parties. Any modification must be documented in a formal addendum signed by authorized representatives of both the Buyer and the Journalist.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation. Should mediation fail, the matter shall be submitted to the competent commercial courts of Mexico, Mexico City.
- This Purchase Order is governed by the civil and commercial laws of the United Mexican States, with specific application of the local regulations of Mexico, Mexico City.
By signing below, both parties acknowledge and accept all terms, conditions, and service specifications outlined in this Purchase Order for the Journalist services to be performed in Mexico, Mexico City.
