All Judge products, hardware, and materials specified in this Purchase Order shall be delivered to the following location in Australia Melbourne:

Delivery Address: Melbourne Events & Adjudication Authority, Level 12, 45 Collins Street, Melbourne VIC 3000, Australia.

Delivery shall be completed no later than 30 July 2025. The supplier, Judge Professional Systems Pty Ltd, is responsible for all freight, insurance, and customs clearance (if applicable) to ensure the Judge equipment arrives at the Melbourne premises in full working order. Installation and initial configuration of all Judge systems shall be performed by qualified Judge technical personnel on-site in Melbourne within five (5) business days of delivery. The supplier warrants that all Judge hardware complies with Australian electrical safety standards (AS/NZS 3820) and Australian Communications and Media Authority (ACMA) regulations.

Payment for this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in Australian Dollars (AUD):

  • 30% deposit (AUD 51,291.90) due within ten (10) business days of acceptance of this Purchase Order.
  • 50% progress payment (AUD 85,486.50) due upon confirmed delivery and installation of all Judge hardware in Melbourne.
  • 20% final payment (AUD 34,194.60) due upon successful completion of the Judge training programme and sign-off of the 12-month support contract.

All payments shall be made via electronic funds transfer (EFT) to the supplier's nominated Australian bank account. Invoices must reference Purchase Order No. PO-AUM-2025-04782. Late payments shall attract interest at the rate prescribed under the Victorian Competition and Consumer Act 2010.

5.1 This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order relating to the Judge product line shall be resolved in the courts of Australia Melbourne or by arbitration under the rules of the Victorian Commercial Arbitration Service (VCAS).

5.2 The supplier, Judge Professional Systems Pty Ltd, warrants that all Judge products and services conform to the specifications outlined in this Purchase Order and comply with all applicable Australian and Victorian legislation, including the Competition and Consumer Act 2010 (Cth), the Consumer Law (Vic), and relevant Australian Standards.

5.3 The supplier shall provide a minimum twelve (12) month warranty on all Judge hardware units delivered to Melbourne. Software licences for the Judge ProScore platform are valid for the duration stated in this Purchase Order and include all updates and patches released during the subscription period.

5.4 The supplier shall maintain full insurance coverage, including public liability insurance of no less than AUD 20,000,000, for all activities conducted in Australia Melbourne in connection with this Purchase Order.

5.5 All data processed, stored, or transmitted through the Judge systems in Melbourne shall remain within Australian borders in compliance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

5.6 The buyer reserves the right to inspect and test all Judge products upon delivery in Melbourne. Any non-conforming items must be replaced or repaired by the supplier within ten (10) business days at no additional cost to the buyer.

5.7 This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Judge products and services for use in Australia Melbourne and supersedes all prior negotiations, representations, or agreements.
