1. Delivery Location: All items specified in this Purchase Order shall be delivered to the Tokyo Metropolitan Evaluation Authority premises located in Japan Tokyo, Chiyoda-ku district. The supplier, Judge Systems International K.K., is responsible for all logistics, customs clearance (if applicable), and final delivery to the designated Japan Tokyo site.
2. Delivery Timeline: The complete Judge system, including all hardware, software licenses, and ancillary equipment, must be delivered and installed no later than ninety (90) calendar days from the date of this Purchase Order. The installation and commissioning of the Judge evaluation consoles in Japan Tokyo must be completed within thirty (30) days of physical delivery.
3. Payment Terms: Payment for this Purchase Order shall be structured as follows: thirty percent (30%) upon execution of this document, forty percent (40%) upon confirmed delivery of all Judge equipment to the Japan Tokyo facility, and the remaining thirty percent (30%) upon successful completion of the Judge system commissioning and acceptance testing in Japan Tokyo. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account designated by Judge Systems International K.K.
4. Quality and Compliance: The Judge evaluation system must meet all applicable Japanese national standards for electronic assessment equipment. The Judge software must be fully localized for use in Japan Tokyo, including Japanese language interface support, compliance with the Act on the Protection of Personal Information (APPI), and adherence to Japan Tokyo municipal data handling regulations. All Judge hardware components must carry the PSE (Product Safety of Electrical Appliances) certification.
5. Warranty: Judge Systems International K.K. shall provide a minimum two-year comprehensive warranty on all Judge hardware units delivered to Japan Tokyo. The warranty covers defects in materials, workmanship, and performance. Software updates and security patches for the Judge platform shall be provided at no additional cost during the three-year maintenance period specified in Item 008.
6. Acceptance Testing: Upon installation in Japan Tokyo, the Buyer shall conduct a comprehensive acceptance test of the Judge system over a period of fourteen (14) business days. The Judge evaluation consoles must demonstrate consistent accuracy, reliability, and compliance with the specifications outlined in the attached technical annex. Failure to pass acceptance testing shall entitle the Buyer to request remediation at the supplier's expense.
7. Intellectual Property: All intellectual property rights associated with the Judge software suite remain the property of Judge Systems International K.K. The Buyer is granted a non-transferable, perpetual license to use the Judge software exclusively within the Japan Tokyo operational premises for the purposes of official evaluation and assessment activities.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the Judge system procurement for Japan Tokyo shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
9. Force Majeure: Neither party shall be liable for delays in the delivery or installation of the Judge system in Japan Tokyo caused by natural disasters, government actions, or other events beyond reasonable control, provided that the affected party notifies the other within five (5) business days.
