All goods and services under this Purchase Order shall be delivered to the designated judicial facilities in Senegal Dakar, specifically the Cour Supérieure de Dakar at Place de l'Indépendance, and the 13 subordinate court buildings throughout the Dakar urban district. The seller shall be responsible for all international shipping, customs clearance at the Port of Dakar (Diamniou), and final delivery to each site. Installation of the Judge system must be completed no later than 120 calendar days from the date of this Purchase Order. The seller shall assign a dedicated project manager who shall be physically present in Senegal Dakar for the duration of the installation phase. All hardware must be climate-rated for the tropical conditions of Dakar, with appropriate humidity and temperature controls integrated into the server room infrastructure.
Payment for this Purchase Order shall be made in West African CFA Francs (XOF) via bank transfer to the seller's designated account. The payment schedule is as follows: (a) 30% advance payment upon signature of this Purchase Order; (b) 40% upon confirmed delivery and installation of all hardware and software in Senegal Dakar; (c) 20% upon successful completion of the Judge system training program and a 30-day operational trial period; and (d) 10% upon final acceptance and issuance of the Certificate of Good Performance by the Ministry of Justice. All payments are subject to the standard 30-day payment terms from the date of invoice receipt. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Senegalese commercial law.
The seller warrants that the Judge Judicial Case Management System shall be free from defects in design, materials, and workmanship for a period of five (5) years from the date of final acceptance. The system shall comply with all applicable regulations of the Republic of Senegal, including the Code de Procédure Pénale, the Code de Procédure Civile, and the national data protection framework. All case data processed through the Judge platform in Senegal Dakar shall be stored exclusively on servers physically located within the territorial boundaries of Senegal. The seller shall provide full source code escrow to the Ministry of Justice to ensure long-term continuity of the judicial system. Any breach of warranty shall entitle the buyer to repair, replacement, or full refund at its sole discretion.
8.1. This Purchase Order is governed by the laws of the Republic of Senegal and, where applicable, the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) Uniform Acts. Any disputes arising from this Purchase Order shall be submitted to the competent commercial court in Senegal Dakar.
8.2. The seller shall not subcontract any portion of the work without prior written consent from the buyer. All personnel deployed to Senegal Dakar for installation and training purposes must hold valid work permits issued by the Senegalese Ministry of Labour.
8.3. The buyer reserves the right to inspect and audit the Judge system at any time during the warranty period. The seller shall provide full access to system logs, configuration files, and administrative interfaces.
8.4. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. No modification shall be valid unless made in writing and signed by both parties.
8.5. Force majeure events, including but not limited to natural disasters affecting the Dakar region, shall extend deadlines proportionally, provided the affected party notifies the other within 48 hours of the event.
