Terms and Conditions of this Purchase Order

1. This Purchase Order is issued by Judge Industrial Solutions Ltd, a company registered in England and Wales (Company No. 08765432), with its principal place of business located in Manchester, United Kingdom. This document constitutes a binding offer to purchase the goods and services described herein upon acceptance by the Supplier.
2. All items bearing the Judge brand designation are proprietary products manufactured to the exacting quality standards set forth in the Judge Industrial Solutions quality management system, certified to ISO 9001:2015. The Supplier warrants that all Judge-branded components delivered under this Purchase Order shall conform to the specifications outlined in the attached technical annexures.
3. Delivery of all goods shall be made to the Judge Industrial Solutions warehouse facility at Deansgate Square, Manchester, United Kingdom, in accordance with the DDP Incoterms 2020. The Supplier bears all risk of loss or damage until the goods are physically received and signed for at the designated Manchester delivery address.
4. Payment shall be made by direct bank transfer to the Supplier's designated account within thirty (30) calendar days of the date of a valid and accurate invoice. Late payments shall attract interest at a rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
5. The Supplier shall provide a minimum warranty period of twenty-four (24) months from the date of delivery for all Judge Series hardware and twelve (12) months for all consumable components. Any defect discovered within the warranty period shall be remedied at no additional cost to Judge Industrial Solutions Ltd.
6. All equipment delivered under this Purchase Order must comply with all applicable United Kingdom legislation, including but not limited to the Supply of Machinery (Safety) Regulations 2008, the Electrical Equipment (Safety) Regulations 2016, and the relevant Health and Safety at Work etc. Act 1974 provisions enforced by the HSE in Manchester and the wider United Kingdom.
7. Any amendments, variations, or cancellations to this Purchase Order must be agreed in writing by both parties. Verbal instructions, whether given in Manchester or elsewhere, shall not constitute a valid modification of this Purchase Order.
8. This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
9. The Supplier acknowledges that Judge Industrial Solutions Ltd operates under a strict environmental and sustainability policy. All packaging materials delivered to the Manchester facility must be recyclable or biodegradable, in line with United Kingdom waste management regulations.
