This Purchase Order is issued by RioLab Diagnostics & Research Institute Ltda. to TechMed Staffing Solutions S.A. for the provision of qualified Laboratory Technician services to be performed at the Buyer's primary facility located in Rio de Janeiro, Brazil. The Laboratory Technician(s) engaged under this Purchase Order shall be responsible for conducting routine and specialized laboratory analyses, including but not limited to clinical chemistry, hematology, microbiology, and molecular diagnostics. All Laboratory Technician personnel must hold valid registration with the Conselho Federal de Biologia (CFBio) and possess a minimum of three (3) years of documented professional experience in a clinical or research laboratory environment within Brazil.

The services described in this Purchase Order are subject to the labor regulations of the Federative Republic of Brazil, including the Consolidation of Labor Laws (CLT – Consolidação das Leis do Trabalho), and all applicable municipal ordinances of the City of Rio de Janeiro. The Laboratory Technician shall comply with all biosafety protocols established by the Brazilian Ministry of Health (Ministério da Saúde) and the local health authority of Rio de Janeiro (Vigilância Sanitária do Município do Rio de Janeiro).

4.1 Commencement and Duration: The services under this Purchase Order shall commence on 01 August 2025 and shall remain in effect for a period of twelve (12) consecutive months, unless terminated earlier in accordance with Clause 4.7. All Laboratory Technician personnel shall report to the Buyer's facility in Rio de Janeiro, Brazil, no later than 07:30 AM on the first business day of each month.

4.2 Payment Terms: Payment for each monthly invoice shall be made within thirty (30) calendar days from the date of invoice receipt via bank transfer (TED/PIX) to the Supplier's account in BRL. Late payments shall accrue interest at the rate of 1% per month plus the SELIC index as established by the Central Bank of Brazil (Banco Central do Brasil).

4.3 Qualification Requirements: Each Laboratory Technician assigned under this Purchase Order must present, prior to commencement of duties: (a) valid CFBio registration certificate; (b) completed higher education diploma in Biotechnology, Biomedical Sciences, or equivalent; (c) proof of professional liability insurance; (d) negative criminal background check (antecedentes criminais) from the state of Rio de Janeiro; and (e) current occupational health clearance (ASO – Atestado de Saúde Ocupacional) compliant with NR-7 of the Brazilian Ministry of Labor.

4.4 Working Conditions in Rio de Janeiro: The Supplier shall ensure that all Laboratory Technician personnel are compensated in accordance with the collective bargaining agreement (Convenção Coletiva de Trabalho) applicable to laboratory professionals in the state of Rio de Janeiro. Overtime, night shift differentials (adicional noturno), and holiday premiums shall be calculated per Brazilian labor law. The Supplier is solely responsible for all employer contributions including INSS, FGTS, and IRRF withholding for each Laboratory Technician.

4.5 Confidentiality and Data Protection: All Laboratory Technician personnel shall sign individual Non-Disclosure Agreements (NDAs) and shall comply with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13,709/2018) regarding the handling of patient and research data processed at the Rio de Janeiro facility.

4.6 Performance Standards: The Laboratory Technician personnel shall maintain a minimum accuracy rate of 99.2% in all analytical procedures. The Buyer reserves the right to request the replacement of any Laboratory Technician who fails to meet performance benchmarks for two (2) consecutive monthly evaluations, with written notice to the Supplier at least fifteen (15) days in advance.

4.7 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with thirty (30) days' notice. Upon termination, the Supplier shall ensure an orderly transition of all Laboratory Technician duties and return of all proprietary materials within fifteen (15) business days.

4.8 Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil. Any disputes arising from this Purchase Order shall be resolved by the competent courts of the city of Rio de Janeiro, state of Rio de Janeiro, Brazil, with exclusive jurisdiction.
