1. Description of ProcurementThis Purchase Order is issued by MedLab Solutions International S.A. to formally request and authorize the engagement of a qualified Laboratory Technician to provide specialized technical support services at our primary research and diagnostic facility located in Brazil São Paulo. The Laboratory Technician shall be responsible for operating analytical instruments, preparing chemical reagents, conducting routine sample analyses, maintaining laboratory equipment, and ensuring full compliance with all applicable Brazilian regulatory standards, including those established by ANVISA (Agência Nacional de Vigilância Sanitária) and the state health authority of São Paulo.
The scope of this Purchase Order encompasses the recruitment, onboarding, and ongoing provision of a certified Laboratory Technician with a minimum of five (5) years of documented experience in clinical or industrial laboratory environments. The selected Laboratory Technician must hold a recognized degree in Laboratory Analysis (Técnico em Análises Clínicas) or an equivalent qualification accredited by the Brazilian Ministry of Education (MEC), and must possess a valid registration with the relevant professional council in the state of São Paulo.

- This Purchase Order constitutes a binding agreement between MedLab Solutions International S.A. and TechLab Personnel Consulting Ltda. upon signature by both authorized representatives. All terms are governed by the civil and labor laws of the Federative Republic of Brazil, with specific jurisdiction in the city of São Paulo, state of São Paulo.
- The Laboratory Technician engaged under this Purchase Order shall report directly to the Laboratory Operations Manager at the Brazil São Paulo facility and shall adhere to all internal standard operating procedures (SOPs), quality management systems (ISO 15189 / ISO 17025), and safety protocols in effect at the time of engagement.
- Payment for services rendered under this Purchase Order shall be made via bank transfer (TED/PIX) to the account designated by the Supplier within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC index, in accordance with Brazilian commercial law.
- The Supplier guarantees that the Laboratory Technician provided shall be fully qualified, legally authorized to practice in the state of São Paulo, and free from any conflict of interest. Any breach of this guarantee shall entitle the Issuing Company to immediate termination of this Purchase Order without penalty.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure a minimum of fourteen (14) days of transitional support to facilitate the handover of the Laboratory Technician's responsibilities to a replacement or internal staff member.
- All personal data processed in connection with this Purchase Order and the employment of the Laboratory Technician shall be handled in strict compliance with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018).
- Any disputes arising from this Purchase Order shall be resolved through the courts of the city of São Paulo, state of São Paulo, Brazil, or through arbitration under the rules of the CAM-ARB (Câmara de Arbitragem do Mercado), at the option of the Issuing Company.
By signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Laboratory Technician at the Brazil São Paulo facility. This document is valid for a period of sixty (60) days from the date of issue, after which it shall be considered expired unless renewed in writing.
