This Purchase Order is issued by Meridian Diagnostics & Research Inc. (hereinafter referred to as the "Client") to ProLab Technical Staffing Solutions Ltd. (hereinafter referred to as the "Supplier") for the provision of qualified Laboratory Technician professional services. The engagement is to be performed at the Client's primary research and diagnostic facility located in Canada Toronto, specifically at the address listed above. The Laboratory Technician shall be responsible for conducting routine and specialized laboratory analyses, maintaining equipment calibration records, preparing reagents and samples, documenting experimental results, and ensuring full compliance with all applicable health, safety, and quality assurance regulations as mandated by the Province of Ontario and the Government of Canada.
The Laboratory Technician engaged under this Purchase Order shall perform the following duties on a full-time basis (40 hours per week) at the Client's Canada Toronto laboratory facility:
- Perform wet-laboratory procedures including cell culture, PCR amplification, spectrophotometric analysis, and chromatography as directed by the Principal Investigator.
- Operate, maintain, and troubleshoot analytical instruments such as HPLC systems, mass spectrometers, centrifuges, and biosafety cabinets.
- Maintain accurate and complete laboratory notebooks, electronic data records, and chain-of-custody documentation in accordance with ISO/IEC 17025 standards.
- Prepare, label, store, and dispose of chemical reagents, biological specimens, and hazardous materials in strict compliance with Ontario's Occupational Health and Safety Act and federal Canadian environmental regulations.
- Conduct quality control checks, participate in proficiency testing programs, and assist in the development and validation of new laboratory protocols.
- Collaborate with the broader research team in Canada Toronto to support ongoing clinical trials, pharmaceutical research, and environmental monitoring projects.
- Ensure the laboratory environment meets all biosafety level (BSL-1 through BSL-2) requirements and report any safety incidents to the Client's Health and Safety Officer within one (1) business day.
The Laboratory Technician assigned to fulfill this Purchase Order must meet the following minimum qualifications:
- A minimum of a Diploma or Bachelor's degree in Laboratory Science, Biotechnology, Chemistry, or a closely related field from an accredited Canadian institution.
- A minimum of three (3) years of post-graduate experience in a clinical, pharmaceutical, or research laboratory setting.
- Valid certification from the Canadian Association for Clinical Laboratory Science (CALS) or equivalent provincial body in Ontario.
- Demonstrated proficiency in LIMS (Laboratory Information Management Systems) and standard data analysis software.
- Full legal authorization to work in Canada, including a valid Social Insurance Number (SIN) for employment in the Province of Ontario.
- Completion of a current Criminal Records Check and Vulnerable Sector Screening as required for laboratory personnel in Canada Toronto.

Payment shall be made via electronic funds transfer (EFT) to the Supplier's designated bank account in Toronto, Ontario, Canada. Invoices are due within thirty (30) calendar days of the date of invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under Ontario's Interest Act.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this engagement shall be resolved through binding arbitration in Canada Toronto under the rules of the Arbitration Association of Canada.
- Confidentiality: The Laboratory Technician shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary data, research findings, patient information, and trade secrets encountered during the course of employment at the Client's Canada Toronto facility. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Compliance: The Supplier warrants that the Laboratory Technician shall comply with all applicable Canadian federal and Ontario provincial regulations, including but not limited to the Canada Labour Code, the Ontario Occupational Health and Safety Act, the Personal Information Protection and Electronic Documents Act (PIPEDA), and all relevant College of Medical Laboratory Technologists of Ontario (CMLTO) standards of practice.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall ensure an orderly transition of all laboratory records, samples, and equipment to the Client within five (5) business days.
- Indemnification: The Supplier shall indemnify and hold harmless the Client against any claims, damages, or liabilities arising from the negligence, willful misconduct, or breach of contract by the Laboratory Technician while performing services under this Purchase Order in Canada Toronto.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or acts of war affecting the Canada Toronto region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Laboratory Technician at the Client's facility in Canada Toronto. This document constitutes a binding agreement upon execution by both authorized representatives.
