This Purchase Order is issued by Beijing Advanced Diagnostics & Research Institute Co., Ltd. (hereinafter referred to as the "Buyer") to Beijing LabTech Professional Services Group Co., Ltd. (hereinafter referred to as the "Seller") for the procurement of qualified Laboratory Technician professional services to be rendered at the Buyer's primary research and diagnostic facility located in China Beijing. The scope of this Purchase Order encompasses the full-time engagement of one (1) certified Laboratory Technician for a continuous period of twelve (12) months, commencing on 1 August 2025 and concluding on 31 July 2026, unless otherwise extended by mutual written agreement.
The Laboratory Technician engaged under this Purchase Order shall be responsible for, but not limited to, the following duties performed within the China Beijing laboratory premises:

- Scope and Location: All services described in this Purchase Order shall be performed exclusively at the Buyer's laboratory premises situated in China Beijing. The Laboratory Technician shall report to the designated work location in Haidian District, China Beijing, on a standard five-day work week (Monday through Friday, 08:30 to 17:30, with a one-hour lunch break), in accordance with the labor laws of the People's Republic of China and the specific municipal regulations governing China Beijing.
- Qualifications: The Laboratory Technician engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Laboratory Science, Clinical Laboratory Technology, or a closely related field, and must possess a valid Laboratory Technician Practicing Certificate issued by the China Beijing Municipal Health Commission. The Seller warrants that the Laboratory Technician shall meet all qualification requirements prior to the commencement date specified in this Purchase Order.
- Payment Terms: Payment for the Laboratory Technician services shall be made in monthly installments of CNY 33,186.83 (inclusive of VAT), payable within thirty (30) calendar days of receipt of a valid invoice from the Seller. The first payment shall be due no later than 30 September 2025. All payments shall be made via bank transfer to the Seller's designated account in China Beijing. Late payments shall incur interest at a rate of 0.05% per day as stipulated under the Civil Code of the People's Republic of China.
- Compliance and Regulatory Adherence: The Seller and the Laboratory Technician shall comply with all applicable national and local regulations governing laboratory operations in China Beijing, including but not limited to the Laboratory Biosafety Management Regulations, the China Beijing Municipal Environmental Protection Standards for Laboratory Waste Disposal, and the Occupational Health and Safety requirements enforced by the China Beijing Municipal Human Resources and Social Security Bureau.
- Confidentiality: The Laboratory Technician shall be bound by a strict confidentiality agreement covering all proprietary research data, patient information, and trade secrets encountered during the course of duties at the China Beijing facility. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall be liable for all Laboratory Technician services rendered up to the effective date of termination, plus any non-recoverable costs incurred by the Seller in China Beijing. The Seller shall ensure a smooth transition of all Laboratory Technician duties and documentation to a successor or to the Buyer's internal staff.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Should negotiation fail within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission (BAC) in China Beijing for binding arbitration in accordance with its then-current rules. The language of arbitration shall be English, and the seat of arbitration shall be China Beijing.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the applicable municipal statutes of China Beijing where relevant to labor, health, and environmental matters.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Laboratory Technician in China Beijing. This document constitutes a binding procurement agreement effective upon the last signature.
