This Purchase Order is issued by Guangzhou Biomedical Research & Analytics Co., Ltd. (hereinafter referred to as the "Purchasing Entity") to procure the services of a qualified Laboratory Technician for deployment at our primary research facility located in China Guangzhou. The Laboratory Technician shall be responsible for the day-to-day operation, maintenance, and quality assurance of analytical instruments, sample preparation, data recording, and compliance with all applicable Chinese national laboratory standards (GB/T 27025) and institutional protocols.

The Laboratory Technician engaged under this Purchase Order must hold a minimum of a Diploma in Laboratory Science or an equivalent qualification recognized by the Guangdong Provincial Health Commission, possess at least three (3) years of hands-on experience in clinical or research laboratory environments, and demonstrate proficiency in operating HPLC, GC-MS, and automated hematology analyzers. The candidate must also be fluent in Mandarin Chinese and possess working proficiency in English to facilitate documentation and reporting within our multinational research partnerships.

• Payment Terms: Payment shall be made in monthly installments via bank transfer to the vendor's designated account within Guangzhou, Guangdong Province. The first installment is due within fifteen (15) calendar days of the Laboratory Technician's confirmed start date. Subsequent payments are due on the first business day of each following month.
• Performance Standards: The Laboratory Technician shall adhere to all Standard Operating Procedures (SOPs) established by the Purchasing Entity. Monthly performance evaluations will be conducted, and failure to meet the agreed KPIs for two consecutive months shall entitle the Purchasing Entity to terminate this Purchase Order with thirty (30) days' written notice.
• Compliance with Local Regulations: All employment and service arrangements governed by this Purchase Order shall comply with the Labor Contract Law of the People's Republic of China, the Guangdong Provincial Labor Regulations, and all municipal ordinances applicable in China Guangzhou. The vendor assumes full responsibility for statutory social insurance contributions, work injury insurance, and annual leave entitlements.
• Confidentiality: The Laboratory Technician shall sign a Non-Disclosure Agreement (NDA) prior to commencing duties. All research data, proprietary methodologies, and patient information encountered during the engagement are classified as confidential and shall not be disclosed to any third party without written authorization from the Purchasing Entity.
• Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected immediately upon written notice. Upon termination, all outstanding invoices for services rendered up to the termination date shall be settled within thirty (30) days.
• Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Guangzhou Arbitration Commission in accordance with its then-current rules. The seat of arbitration shall be Guangzhou, Guangdong, China.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as may be declared by the Guangzhou Municipal People's Government.

The Laboratory Technician shall report for duty at the Purchasing Entity's facility at No. 88 Tianhe Road, Tianhe District, Guangzhou, Guangdong, China, no later than 08:00 hours on 01 August 2025. The vendor shall ensure that all onboarding documentation, including the signed labor contract, NDA, and safety training records, are completed and filed with the Purchasing Entity's Human Resources department within the first five (5) business days of commencement.
