The services described herein are subject to the terms, conditions, and regulatory requirements applicable within the People's Republic of China, specifically those governing the Shanghai municipal labor and employment framework.

The Supplier shall identify, vet, and place a minimum of nine (9) qualified Laboratory Technician candidates at the Buyer's designated facility in China Shanghai. Each Laboratory Technician must hold a minimum of a Bachelor's degree in Chemistry, Biochemistry, Biomedical Engineering, or a directly related discipline from an accredited institution within the People's Republic of China. Senior-level Laboratory Technicians must demonstrate a minimum of five (5) years of hands-on experience in molecular biology laboratories, including proficiency in PCR, gel electrophoresis, and nucleic acid quantification. Mid-level Laboratory Technicians must possess at least three (3) years of experience operating HPLC, GC-MS, and UV-Vis spectrophotometric equipment. Junior Laboratory Technicians must have completed a recognized laboratory apprenticeship or internship program and demonstrate competency in sample handling, reagent preparation, and basic instrument maintenance.

All Laboratory Technicians placed under this Purchase Order must comply with the occupational health and safety regulations enforced by the Shanghai Municipal Health Commission and the State Administration for Market Regulation of China. • Contract Effective Date: 1 August 2025
• Placement Deadline: All Laboratory Technician positions shall be filled and personnel shall report for duty no later than 20 August 2025.
• Onboarding Period: A mandatory two-week (10 business day) onboarding and facility orientation period shall commence on 20 August 2025 at the Buyer's laboratory premises in Pudong, China Shanghai.
• Contract Duration: Twelve (12) months from the date of commencement, with an optional six-month renewal subject to mutual written agreement.

• Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Supplier's designated corporate account in China Shanghai.
• 30% advance payment (CNY 429,840.60) is due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
• 50% milestone payment (CNY 716,401.00) is due upon successful completion of the onboarding period and written confirmation of satisfactory placement of all Laboratory Technicians.
• 20% final payment (CNY 286,560.40) is due upon the conclusion of the third month of service, subject to the Buyer's performance review of the Laboratory Technician cohort.
• All invoices must reference Purchase Order number PO-SH-LAB-2025-0472 and include a valid VAT invoice (fapiao) issued in accordance with PRC tax regulations.
• Late payments shall incur an interest charge of 0.05% per calendar day on the outstanding balance.

• This Purchase Order is governed by and shall be construed in accordance with the Civil Code of the People's Republic of China and the Labor Contract Law of the PRC.
• Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai. The language of arbitration shall be English.
• The Supplier warrants that all Laboratory Technicians placed under this Purchase Order are free from any conflicting employment obligations and are legally authorized to perform laboratory work in China Shanghai.
• The Buyer reserves the right to request the replacement of any Laboratory Technician who fails to meet the performance standards outlined in the individual position specifications, with no additional cost to the Buyer, provided written notice is given at least fourteen (14) days in advance.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary research data, laboratory protocols, and personnel information encountered during the term of this Purchase Order. This obligation survives termination for a period of three (3) years.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns, or public health emergencies as declared by the authorities in China Shanghai.
• This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
