The Laboratory Technician engaged under this Purchase Order shall be responsible for performing routine and specialized laboratory analyses, maintaining calibration of analytical instruments, ensuring compliance with French national laboratory accreditation standards (COFRAC), and supporting senior research scientists in experimental protocols. All work shall be conducted in strict adherence to the regulatory framework governing laboratory operations in France Paris, including but not limited to the French Public Health Code (Code de la Santé Publique) and applicable European Union directives on laboratory safety and quality assurance.

  1. Delivery and Commencement: The Laboratory Technician shall commence duties no later than 01 September 2025 at the designated laboratory premises in France Paris. The Supplier guarantees that the Laboratory Technician shall possess a minimum of three (3) years of documented experience in clinical or research laboratory settings and hold a recognized BTS or DUT in Biological Techniques (Techniques de Biologie Médicale) or equivalent qualification.
  2. Payment Terms: Payment for this Purchase Order shall be made in monthly installments via bank transfer (virement bancaire) to the Supplier's designated account. Each monthly invoice shall be due within thirty (30) calendar days of receipt. The initial recruitment and placement fee (Item 01) is due upon confirmation of the Laboratory Technician's start date.
  3. Compliance with French Law: All services rendered under this Purchase Order shall comply with the French Labor Code (Code du Travail), applicable collective agreements (conventions collectives) for laboratory and research personnel, and all municipal regulations specific to France Paris. The Supplier shall bear full responsibility for social security contributions (URSSAF), pension fund contributions, and any other statutory employer obligations.
  4. Quality and Performance Standards: The Laboratory Technician shall maintain a minimum accuracy rate of 99.2% on all analytical procedures. Quarterly performance reviews shall be conducted jointly by the Buyer's laboratory director and the Supplier's account manager. Failure to meet performance benchmarks for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
  5. Confidentiality and Data Protection: The Laboratory Technician shall be bound by strict confidentiality obligations in accordance with the French Data Protection Act (Loi Informatique et Libertés) and the General Data Protection Regulation (GDPR). All patient data, research findings, and proprietary methodologies accessed during the engagement shall remain the exclusive property of the Buyer.
  6. Health and Safety: The Supplier shall ensure that the Laboratory Technician completes all mandatory health and safety training specific to laboratory environments in France Paris, including chemical handling, biosafety level (BSL) protocols, and emergency evacuation procedures. Annual medical fitness certifications shall be maintained throughout the engagement period.
  7. Termination and Cancellation: Either party may cancel this Purchase Order with sixty (60) days' written notice. In the event of early termination by the Buyer without cause, a cancellation fee equal to 15% of the remaining contract value shall be payable to the Supplier. Termination for cause (material breach, gross negligence, or regulatory non-compliance) shall be effective immediately upon written notification.
  8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.

By signing below, both parties acknowledge and accept all terms, conditions, and financial obligations set forth in this Purchase Order for the engagement of the Laboratory Technician at the France Paris laboratory facility. This document constitutes a binding agreement between the parties and supersedes all prior negotiations, correspondence, and understandings relating to the procurement described herein.
