This Purchase Order is issued by MediCore Diagnostics Pvt. Ltd., Bangalore, India, to Apex Healthcare Staffing Solutions LLP for the procurement and deployment of qualified Laboratory Technician personnel to support the clinical and diagnostic operations at our facility located in Whitefield, Bangalore, Karnataka, India. The services encompass the full-time engagement of Laboratory Technicians who shall perform routine and specialized laboratory analyses in compliance with all applicable Indian regulatory standards, including those set by the National Accreditation Board for Testing and Calibration Laboratories (NABL) and the Drugs and Cosmetics Act, 1940.

- Scope of Work: The Laboratory Technicians deployed under this Purchase Order shall perform all duties as defined in the attached Job Description Annexure-A, including but not limited to sample processing, instrument operation, quality assurance checks, data entry into the Laboratory Information Management System (LIMS), and maintenance of laboratory records in accordance with NABL and ISO 15189:2022 standards applicable in India.
- Work Location: All services shall be rendered at the MediCore Diagnostics facility, Plot No. 42, Industrial Area, Whitefield, Bangalore, Karnataka – 560066, India. The Laboratory Technicians shall adhere to the shift schedule as communicated by the site supervisor.
- Compliance & Regulatory: The supplier, Apex Healthcare Staffing Solutions LLP, shall ensure that all Laboratory Technicians hold valid registrations with the relevant Indian medical and laboratory authorities. All personnel shall undergo mandatory background verification, medical fitness certification, and biosafety training prior to commencing duties in Bangalore.
- Payment Schedule: Invoices shall be submitted on the 5th of each month for services rendered in the preceding month. Payment shall be processed within 30 days of invoice receipt via NEFT/RTGS to the supplier's designated bank account in Bangalore, India. Late payments shall attract interest at 1.5% per month as per Indian commercial practice.
- Replacement Clause: In the event of underperformance, resignation, or non-compliance by any Laboratory Technician, the supplier shall provide a qualified replacement within 10 working days at no additional cost to the buyer. The replacement must meet the same qualification and experience criteria specified in Section 2 of this Purchase Order.
- Confidentiality & Data Protection: All Laboratory Technicians shall sign a Non-Disclosure Agreement (NDA) and comply with the Digital Personal Data Protection Act, 2023 (India). Patient data, test results, and proprietary laboratory protocols shall remain the exclusive intellectual property of MediCore Diagnostics Pvt. Ltd.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In case of material breach, termination may be effected with 15 days' notice. Upon termination, all Laboratory Technicians shall be relieved of duties, and a final settlement of dues shall be completed within 30 days.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns, or epidemics affecting operations in Bangalore, India.
- Validity: This Purchase Order is valid for acceptance until 31 July 2025. Failure to confirm acceptance by this date shall render this document null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Laboratory Technician services in Bangalore, India. This document constitutes a binding commercial agreement between the parties.
