This Purchase Order is issued by MedLab Diagnostics & Research Center Ltd. for the procurement of qualified Laboratory Technician professional services to be rendered at the company's primary facility located in Tel Aviv, Israel. The scope of work encompasses the full-time engagement of a certified Laboratory Technician to perform diagnostic sample preparation, chemical analysis, quality control testing, instrument calibration, and routine laboratory maintenance in compliance with all applicable Israeli Ministry of Health regulations and ISO 15189:2022 standards.
The Laboratory Technician engaged under this Purchase Order shall be responsible for operating and maintaining analytical instruments including but not limited to spectrophotometers, centrifuges, PCR machines, and automated hematology analyzers. The technician must hold a valid Israeli Ministry of Health license for laboratory work, a B.Sc. in Laboratory Sciences or an equivalent qualification recognized by the Israeli Council for Higher Education, and a minimum of three (3) years of documented experience in clinical or research laboratory environments within Israel.

All prices are denominated in Israeli New Shekels (ILS / –). Payment shall be processed via bank transfer to the Seller's designated account at Bank Hapoalim, Tel Aviv branch, in accordance with Israeli banking regulations.
4.1 Commencement and Duration: The Laboratory Technician services described in this Purchase Order shall commence on 1 August 2025 at the MedLab facility in Tel Aviv, Israel, and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 4.7.
4.2 Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice from the Seller. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (חוק הריבית, 5731-1971).
4.3 Compliance with Israeli Law: The Seller warrants that all Laboratory Technicians assigned under this Purchase Order shall be fully compliant with the Israeli Labor Law, the Minimum Wage Law, the National Insurance Law, and all occupational health and safety regulations enforced by the Israeli Ministry of Labor and Social Welfare. The Seller shall bear full responsibility for statutory employer contributions including Bituach Leumi (National Insurance) and employer pension fund deposits.
4.4 Quality Assurance: The Laboratory Technician shall adhere to the quality management system of MedLab Diagnostics, which is certified under ISO 15189:2022. All work performed in the Tel Aviv laboratory shall be subject to internal and external quality audits conducted no fewer than twice per calendar year.
4.5 Confidentiality and Data Protection: The Seller and the assigned Laboratory Technician(s) shall comply with the Israeli Privacy Protection Law, 5741-1981, and the EU General Data Protection Regulation (GDPR) to the extent applicable. All patient and research data handled in the Tel Aviv facility shall be treated as strictly confidential.
4.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, termination may be effected with fourteen (14) days' written notice. Termination shall not affect accrued payment obligations.
4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the Israeli government.
The primary site of performance for the Laboratory Technician services under this Purchase Order is the MedLab Diagnostics & Research Center facility at 42 HaYarkon Street, Tel Aviv-Yafo, Israel. The secondary satellite laboratory is located at 18 Allenby Boulevard, Tel Aviv. The Seller shall ensure that the Laboratory Technician reports to the designated site no later than 08:00 hours on each scheduled working day, in accordance with the standard Israeli working week (Sunday through Thursday, with Friday as a half-day and Saturday as a non-working day, subject to the facility's operational requirements).
This Purchase Order is hereby authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document regarding the procurement of Laboratory Technician services in Tel Aviv, Israel.
