This Purchase Order is issued by BioAnalytica Research S.r.l. (hereinafter referred to as the "Buyer") to TalentLab Professional Staffing S.p.A. (hereinafter referred to as the "Supplier") for the procurement and placement of a qualified Laboratory Technician to be assigned to the Buyer's research and analytical facility located in Italy Milan, specifically at the premises on Via Paolo Sarpi 21, 20154 Milan, Italy.
The Laboratory Technician engaged under this Purchase Order shall be responsible for performing a comprehensive range of laboratory duties including but not limited to: preparation and calibration of laboratory instruments and equipment; execution of chemical, biological, and physical analyses; maintenance of accurate laboratory records and documentation; quality control sampling and testing; preparation of reagents and solutions; operation of spectrophotometers, centrifuges, microscopes, and other analytical apparatus; and adherence to all applicable Italian and European Union laboratory safety regulations, including those governed by the Italian Ministry of Health and the European Chemicals Agency (ECHA).
The Laboratory Technician must hold a minimum of a Diploma in Laboratory Sciences (Diploma di Perito in Chimica, Materiali e Biotecnologie) or an equivalent qualification recognized under Italian national standards. A minimum of three (3) years of documented professional experience in a clinical, pharmaceutical, or industrial laboratory environment within Italy Milan or the broader Lombardy region is required. Fluency in Italian is mandatory, and working proficiency in English is strongly preferred given the international nature of the Buyer's research collaborations.

4.1 Commencement Date: The Laboratory Technician shall commence duties at the Buyer's facility in Italy Milan no later than 1 August 2025. The Supplier shall ensure that all pre-employment checks, including background verification, health clearance, and Italian labor registration, are completed prior to this date.
4.2 Contract Duration: This Purchase Order covers an initial engagement period of twelve (12) months, commencing on the date of commencement specified above. Renewal shall be subject to mutual written agreement between the parties and the issuance of a supplementary Purchase Order.
4.3 Payment Terms: Payment shall be made via bank transfer to the Supplier's designated Italian bank account within thirty (30) days of receipt of a valid invoice. Invoices shall be issued monthly in arrears. The Buyer reserves the right to withhold payment for any period during which the Laboratory Technician is not actively performing duties, subject to prior written notice to the Supplier.
4.4 Compliance with Italian Law: The Supplier warrants that the Laboratory Technician placed under this Purchase Order shall be fully compliant with all applicable Italian labor legislation, including the Italian Civil Code (Codice Civile), the Statuto dei Lavoratori (Law No. 300/1970), and all relevant collective bargaining agreements (Contratti Collettivi Nazionali di Lavoro) applicable to laboratory and technical personnel in the Lombardy region. The Supplier shall bear full responsibility for all employer obligations, including but not limited to INPS social security contributions, INAIL workplace insurance, and tax withholding.
4.5 Health and Safety: The Laboratory Technician shall be required to complete all mandatory health and safety training as prescribed by Italian Legislative Decree 81/2008 (Testo Unico sulla Sicurezza sul Lavoro) prior to commencing any laboratory work in Italy Milan. The Buyer shall provide all necessary personal protective equipment (PPE) and ensure that the laboratory environment meets all applicable safety standards.
4.6 Confidentiality and Data Protection: The Laboratory Technician shall be bound by strict confidentiality obligations regarding all proprietary research data, methodologies, and trade secrets of the Buyer. All personal data processing shall comply with the Italian Data Protection Code (D.Lgs. 196/2003) and the European General Data Protection Regulation (GDPR - Regulation (EU) 2016/679).
4.7 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Supplier shall ensure an orderly transition and, where applicable, provide a replacement Laboratory Technician within fifteen (15) business days at the Buyer's facility in Italy Milan.
4.8 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Italy Milan.
