This Purchase Order is issued by MediCore Diagnostics Sdn. Bhd. (hereinafter referred to as the "Purchaser") to TalentBridge HR Solutions Sdn. Bhd. (hereinafter referred to as the "Supplier") for the recruitment, placement, and onboarding of qualified Laboratory Technician personnel to support the clinical and research operations of the Purchaser's diagnostic laboratory facility located in Malaysia Kuala Lumpur. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the specified Laboratory Technician roles as outlined herein.

The Supplier shall provide the following services and deliverables in accordance with this Purchase Order. All Laboratory Technician candidates must hold a minimum of a Diploma in Medical Laboratory Science or equivalent qualification recognised by the Malaysian Qualifications Agency (MQA) and must be registered or eligible for registration with the relevant professional body in Malaysia.

Payment shall be made via bank transfer to the Supplier's designated account within 30 days from the date of receipt of a valid tax invoice, subject to satisfactory completion of the deliverables specified in this Purchase Order.
A 50% advance payment (MYR 47,700.00) shall be due upon acceptance of this Purchase Order by both parties.
The remaining 50% balance (MYR 47,700.00) shall be due upon successful onboarding and completion of the 14-day probationary period for all Laboratory Technician personnel placed in the Malaysia Kuala Lumpur facility.
All payments are denominated in Malaysian Ringgit (MYR) and shall be made to: TalentBridge HR Solutions Sdn. Bhd., Bank: Maybank, Account No: 5123-4567-8901, SWIFT: BMMBMYKL.

This Purchase Order is governed by the laws of Malaysia and shall be interpreted in accordance with the Contracts Act 1950 of Malaysia.
All Laboratory Technician candidates placed under this Purchase Order must comply with the Occupational Safety and Health Act 1994 (OSHA) and all applicable laboratory safety regulations enforced in Malaysia Kuala Lumpur.
The Supplier warrants that all Laboratory Technician personnel shall be legally eligible to work in Malaysia and shall hold valid work permits or employment passes where applicable.
The Purchaser reserves the right to reject any Laboratory Technician candidate who fails to meet the competency standards, professional registration requirements, or medical fitness criteria specified in this Purchase Order.
Any amendments, modifications, or cancellations to this Purchase Order must be made in writing and signed by authorised representatives of both parties. No verbal agreements shall be binding.
The Supplier shall maintain professional indemnity insurance with a minimum coverage of MYR 1,000,000 for the duration of the engagement in Malaysia Kuala Lumpur.
Confidentiality: All patient data, proprietary laboratory methods, and internal operational information of the Purchaser's Malaysia Kuala Lumpur facility shall remain strictly confidential. The Supplier and all placed Laboratory Technician personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing duties.
Disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur, and if unresolved, shall be subject to the jurisdiction of the courts of Malaysia.
This Purchase Order shall remain valid for a period of 30 calendar days from the date of issue. If not accepted within this period, it shall automatically lapse and require re-issuance.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the recruitment and placement of Laboratory Technician personnel in Malaysia Kuala Lumpur.
