The Laboratory Technician engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Laboratory Sciences, Clinical Chemistry, or a directly related field, and must possess a valid professional certification recognized by the Ministry of Health of the Russian Federation. The Laboratory Technician shall be physically present at the Buyer's facility located in Russia Saint Petersburg no fewer than forty (40) hours per week, Monday through Friday, from 08:00 to 17:00 local time.

4.1 Payment Terms: Payment for this Purchase Order shall be made in quarterly installments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The first installment is due upon successful onboarding and commencement of duties by the Laboratory Technician at the Russia Saint Petersburg facility.

4.2 Performance Standards: The Laboratory Technician shall adhere to all applicable Russian Federation laboratory safety regulations, GMP (Good Manufacturing Practice) guidelines, and the specific protocols established by the Buyer. Failure to meet performance benchmarks as outlined in Appendix B of this Purchase Order may result in a formal notice of non-conformance and, if unresolved within fifteen (15) business days, termination of the Purchase Order without penalty to the Buyer.

4.3 Confidentiality: The Laboratory Technician and the Supplier shall treat all data, research findings, patient information, and proprietary methodologies encountered during the performance of this Purchase Order as strictly confidential. This obligation survives the expiration or termination of this Purchase Order for a period of five (5) years.

4.4 Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Russia Saint Petersburg in accordance with the rules of the Arbitration Court of Saint Petersburg and Leningrad Oblast.

4.5 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Russia Saint Petersburg region.

The Laboratory Technician shall report for duty at the Buyer's laboratory facility in Russia Saint Petersburg no later than 01 July 2025. The Supplier guarantees that the Laboratory Technician will have completed all required background checks, medical clearances, and regulatory registrations prior to the commencement date. The Supplier shall bear all costs associated with the relocation and initial setup of the Laboratory Technician within the Russia Saint Petersburg area.
