The services described herein shall be performed exclusively at the Buyer's research facility located in South Korea Seoul, specifically at the address listed above. This Purchase Order governs all terms, conditions, deliverables, and financial obligations related to the engagement of the Laboratory Technician personnel for a defined contract period.

All Laboratory Technician candidates placed under this Purchase Order must meet the following minimum qualifications as mandated by the Buyer and in compliance with South Korean national standards for laboratory personnel:

• A minimum of a two-year associate degree or equivalent certification in Laboratory Science, Biotechnology, or a directly related field, recognized by the Ministry of Education of the Republic of Korea.
• For Senior Laboratory Technician roles: a minimum of five (5) years of documented hands-on experience in molecular biology, PCR, electrophoresis, and spectrophotometric analysis.
• For Junior Laboratory Technician roles: a minimum of two (2) years of documented experience in clinical chemistry, sample preparation, and routine laboratory testing.
• Proficiency in the English language (TOEIC score of 700 or above) and native-level Korean, as all operations are conducted in South Korea Seoul.
• Valid certification from the Korea Laboratory Association (KLA) or equivalent body recognized by the Seoul Metropolitan Government.
• Completion of a criminal background check and medical fitness examination as required for laboratory work in South Korea.

• 4.1 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea, including the Korean Civil Code and the Labor Standards Act applicable to South Korea Seoul.
• 4.2 The Supplier warrants that all Laboratory Technician personnel placed under this Purchase Order shall be legally authorized to work in South Korea and shall hold valid work permits where applicable.
• 4.3 The Supplier shall bear full responsibility for payroll processing, statutory social insurance contributions (National Pension, National Health Insurance, Employment Insurance, and Industrial Accident Compensation Insurance) for all Laboratory Technician staff in accordance with South Korean labor regulations.
• 4.4 The Buyer reserves the right to request the replacement of any Laboratory Technician who fails to meet performance standards or violates the laboratory safety protocols at the South Korea Seoul facility, with written notice of no fewer than seven (7) calendar days.
• 4.5 All intellectual property, research data, and proprietary information generated or accessed by the Laboratory Technician personnel during the course of this engagement shall remain the exclusive property of the Buyer.
• 4.6 The Supplier shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of this Purchase Order.
• 4.7 Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board (KCAB).

• Payment shall be made in Korean Won (KRW) via bank transfer to the Supplier's designated account in Seoul, South Korea.
• Invoices shall be submitted on the last business day of each calendar month for services rendered during that month.
• Payment terms: Net 30 days from the date of invoice receipt, subject to Buyer's verification of service delivery.
• Early termination of this Purchase Order by the Buyer shall require 60 days' written notice, and payment shall be prorated for services actually rendered up to the termination date.

All Laboratory Technician personnel shall be placed and commence duties at the Buyer's facility in South Korea Seoul no later than 30 July 2025. The Supplier shall provide the Buyer with a detailed onboarding schedule, including orientation dates, safety training timelines, and departmental assignments, no fewer than ten (10) business days prior to the start date. Performance reviews shall be conducted quarterly by the Buyer's Human Resources department in coordination with the Supplier's account manager.
