Description of Procured ServicesThis Purchase Order is issued by Helvetia Diagnostics AG for the procurement of qualified Laboratory Technician professional services to be rendered at the primary diagnostic facility located in Switzerland Zurich. The scope of this Purchase Order encompasses the full-time engagement of certified Laboratory Technicians to perform clinical sample analysis, quality control procedures, instrument calibration, and routine diagnostic testing in compliance with Swiss Federal Office of Public Health (BAG) regulations and ISO 15189:2022 accreditation standards.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Swiss Code of Obligations (OR) and applicable cantonal labor regulations of the Canton of Zurich, Switzerland Zurich. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Switzerland Zurich.
- Service Commencement: All Laboratory Technician personnel engaged under this Purchase Order shall commence their duties no later than 1 August 2025 at the Helvetia Diagnostics AG facility in Switzerland Zurich. A two-week onboarding and orientation period shall precede full operational deployment.
- Qualification Requirements: Each Laboratory Technician assigned under this Purchase Order must hold a recognized Swiss Federal Diploma in Laboratory Technology (EFZ) or equivalent qualification approved by the Swiss Accreditation Service (SAS). All personnel must possess valid work permits for Switzerland Zurich as per the Swiss Federal Act on Foreign Nationals and Integration (FNI).
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made via Swiss bank transfer (IBAN) within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the Swiss National Bank (SNB) reference rate plus two percentage points.
- Confidentiality & Data Protection: All Laboratory Technicians shall be bound by strict confidentiality agreements in compliance with the Swiss Federal Act on Data Protection (FADP/DSG). Patient data processed in Switzerland Zurich shall not be transferred outside the Swiss Confederation without explicit written authorization.
- Performance Standards: Laboratory Technicians shall maintain a minimum accuracy rate of 99.5% on all diagnostic assays. Monthly performance reports shall be submitted to the Purchasing Entity. Failure to meet standards for two consecutive months shall constitute grounds for termination of this Purchase Order with thirty (30) days written notice.
- Health & Safety: All Laboratory Technician personnel shall comply with the Swiss Occupational Safety and Health Act (ArG) and the Chemicals Ordinance (ChemV). The service provider shall maintain full professional liability insurance with a minimum coverage of CHF 5,000,000 per incident, valid throughout Switzerland Zurich.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days notice. All outstanding invoices for services rendered prior to termination shall remain payable.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Switzerland Zurich.
- Amendments: Any modification to this Purchase Order, including changes to the number of Laboratory Technician positions, scope of services, or pricing, shall be documented in a written addendum signed by authorized representatives of both parties.
All Laboratory Technician services shall be delivered at the following location: Helvetia Diagnostics AG, Bahnhofstrasse 142, 8001 Switzerland Zurich, Canton of Zurich. Acceptance of services shall be confirmed in writing by the Procurement Director within five (5) business days of each monthly service period. The Purchasing Entity reserves the right to reject services that do not conform to the specifications outlined in this Purchase Order.
