This Purchase Order is issued by Anatolia Diagnostics & Research Center A.Ş. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Laboratory Technician services to be rendered at the Buyer's primary facility located in Turkey Istanbul, specifically at the Maslak Business District laboratory complex. The purpose of this Purchase Order is to secure the engagement of qualified Laboratory Technician personnel who will perform clinical analysis, sample processing, quality control procedures, and routine diagnostic testing in accordance with the standards established by the Turkish Ministry of Health and the Istanbul Provincial Health Directorate.

All Laboratory Technician candidates procured under this Purchase Order must meet the following minimum qualifications as mandated for operations in Turkey Istanbul:
- A minimum of a two-year associate degree or equivalent diploma in Medical Laboratory Technology, Clinical Laboratory Science, or a directly related field from an institution accredited by the Turkish Council of Higher Education (YÖK).
- Valid professional registration with the Turkish Medical Laboratory Technicians Association (TÜMBİS) or equivalent recognized body operating within Istanbul.
- A minimum of three (3) years of documented hands-on experience in a clinical or research laboratory environment, with at least one year of experience in a high-volume diagnostic facility.
- Demonstrated proficiency in operating automated analyzers, hematology panels, chemistry platforms, and molecular biology equipment commonly deployed in Istanbul-based diagnostic laboratories.
- Working knowledge of Turkish and English; proficiency in a third language (German, Arabic, or Russian) is considered advantageous given the international patient base in Turkey Istanbul.
- Current valid health certificate and occupational fitness clearance issued by a licensed physician in Istanbul, confirming the candidate's ability to perform laboratory duties involving biological agents, chemical reagents, and radiation exposure.
The Supplier shall ensure that all Laboratory Technician personnel are fully onboarded, have completed mandatory orientation, and are operational at the Buyer's facility in Turkey Istanbul no later than 1 August 2025. The Supplier is responsible for arranging all necessary work permits, social security registrations (SGK), and local municipal notifications required for employment in the Istanbul metropolitan area. Any delays in commencement beyond the stipulated date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
Payment for this Purchase Order shall be structured as follows:
- 30% Advance Payment: Due within fifteen (15) business days of the Buyer's written acceptance of this Purchase Order, payable via bank transfer to the Supplier's designated account in Istanbul.
- 40% Milestone Payment: Due upon successful onboarding and commencement of all Laboratory Technician personnel at the Turkey Istanbul facility, subject to the Buyer's written confirmation of satisfactory induction.
- 30% Final Payment: Due at the conclusion of the twelve-month service period, contingent upon the Supplier's delivery of a final performance report and confirmation that all Laboratory Technician personnel have fulfilled their contractual obligations without material breach.
All payments shall be made in Turkish Lira (TRY) to the following account: MedStaff Professional Services Ltd. Şti., Ziraat Bankası, Istanbul Branch, IBAN: TR12 0001 0000 1234 5678 9012 34.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Turkey, including the Turkish Code of Obligations (Türk Borçlar Kanunu) and applicable regulations of the Istanbul Provincial Directorate of Health.
- The Supplier warrants that all Laboratory Technician personnel engaged under this Purchase Order shall be fully insured, including occupational accident insurance and general health coverage, for the entire duration of their assignment in Turkey Istanbul.
- The Buyer reserves the right to request the replacement of any Laboratory Technician who fails to meet performance standards, violates laboratory safety protocols, or is found to be in breach of the terms outlined in this Purchase Order, with no additional cost to the Buyer.
- All intellectual property, patient data, and proprietary laboratory methodologies encountered by the Laboratory Technician personnel during the course of their duties in Turkey Istanbul shall remain the exclusive property of the Buyer. The Supplier shall ensure that all personnel sign non-disclosure and data protection agreements in compliance with the Turkish Personal Data Protection Law (KVKK, Law No. 6698).
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC). The language of arbitration shall be English.
- This Purchase Order shall remain in full force and effect for the twelve-month service period commencing on 1 August 2025 and terminating on 31 July 2026, unless terminated earlier by mutual written agreement or as provided herein.
- The Supplier shall maintain a dedicated point of contact in Turkey Istanbul available during standard business hours (09:00–18:00, Monday through Friday) to address any operational concerns, personnel matters, or compliance issues related to the Laboratory Technician engagement.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Laboratory Technician services in Turkey Istanbul. This document constitutes a binding agreement between the parties upon execution by both authorized signatories.
