This Purchase Order is issued by MetroLab Diagnostics & Research Institute, LLC (hereinafter referred to as the "Buyer") to Precision Scientific Staffing Solutions, Inc. (hereinafter referred to as the "Seller") for the recruitment, placement, and ongoing professional services of a qualified Laboratory Technician to be assigned to the Buyer's facility located in United States New York City. The Laboratory Technician shall perform clinical and research laboratory duties in compliance with all applicable New York State and New York City health, safety, and regulatory standards, including but not limited to those enforced by the New York City Department of Health and Mental Hygiene and the New York State Department of Health.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the municipal ordinances of United States New York City. Any disputes arising under this Purchase Order shall be resolved in the state or federal courts located in New York County, United States New York City.
- Payment Terms: The Buyer shall remit payment within thirty (30) days of receipt of a valid invoice from the Seller. The initial recruitment fee (Item 001) and compliance fees (Item 004) are due upon execution of this Purchase Order. Monthly fees (Items 002 and 003) shall be invoiced on the first business day of each calendar month. All payments shall be made via ACH transfer to the Seller's designated account in United States New York City.
- Laboratory Technician Qualifications: The Laboratory Technician placed under this Purchase Order must hold a minimum of an Associate's degree in Laboratory Science or a related field, possess a valid New York State Laboratory Technician certification, and demonstrate a minimum of three (3) years of hands-on experience in clinical laboratory environments. The Seller warrants that the Laboratory Technician shall pass all background checks, drug screenings, and reference verifications required by the Buyer prior to commencing duties.
- Work Location and Hours: The Laboratory Technician shall perform all duties at the Buyer's facility at 1450 Broadway, New York, NY 10018, United States New York City. Standard working hours shall be Monday through Friday, 08:00 to 17:00 Eastern Time, with occasional evening or weekend shifts as required by the laboratory's operational schedule. Overtime shall be compensated in accordance with New York State labor laws and New York City wage ordinances.
- Compliance and Regulatory Obligations: The Seller shall ensure that the Laboratory Technician maintains all necessary licenses, registrations, and certifications required to practice in United States New York City. This includes but is not limited to: New York State Department of Health laboratory registration, OSHA 10-hour and 30-hour safety certifications, New York City DOHMH bloodborne pathogen training, and annual HIPAA compliance training. Failure to maintain any required credential shall constitute a material breach of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of a material breach by the Seller, including but not limited to the placement of a Laboratory Technician who does not meet the stated qualifications, the Buyer may terminate this Purchase Order immediately upon written notice and shall be entitled to a full refund of the recruitment fee (Item 001) and any unused monthly fees.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary laboratory procedures, patient data, research findings, and business information exchanged in connection with this Purchase Order. The Laboratory Technician shall be bound by a separate Non-Disclosure Agreement (NDA) executed prior to the commencement of duties.
- Indemnification: The Seller shall indemnify, defend, and hold harmless the Buyer from any and all claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to the negligence, willful misconduct, or breach of contract by the Seller or the Laboratory Technician in the performance of services under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, natural disasters, pandemics, government orders, or civil unrest affecting United States New York City.
- Entire Agreement: This Purchase Order, together with any attached exhibits and the separate NDA, constitutes the entire agreement between the parties regarding the procurement of Laboratory Technician services and supersedes all prior negotiations, representations, and agreements.
