This Purchase Order is issued by Tashkent Central Diagnostics & Research Institute (hereinafter referred to as the "Buyer") to MedPro Staffing Solutions LLP (hereinafter referred to as the "Seller") for the recruitment, placement, and ongoing provision of a qualified Laboratory Technician to operate within the Buyer's facilities located in Uzbekistan Tashkent. The Laboratory Technician shall be responsible for performing routine and specialized diagnostic laboratory analyses, maintaining laboratory equipment, ensuring compliance with national and international quality standards, and supporting senior laboratory staff in all operational activities conducted at the Tashkent facility.

The Laboratory Technician engaged under this Purchase Order must meet the following minimum qualifications and responsibilities:

(a) Hold a minimum of a secondary specialized education in clinical laboratory science, medical diagnostics, or a closely related field, as recognized by the Ministry of Health of the Republic of Uzbekistan;

(b) Possess a valid professional certification for laboratory work issued or endorsed by the relevant Uzbekistan Tashkent regulatory authority;

(d) Be proficient in operating hematology analyzers, biochemistry analyzers, urinalysis equipment, and microbiological culture systems;

(e) Maintain strict adherence to biosafety protocols, waste disposal regulations, and data integrity standards applicable in Uzbekistan Tashkent;

(f) Operate on a full-time basis, Monday through Friday, 08:00 to 17:00 local time, with availability for on-call shifts as required by the laboratory schedule.

All payments under this Purchase Order shall be made in Uzbekistan Som (UZS) via bank transfer to the Seller's designated account. The Seller shall submit a detailed invoice at the end of each calendar month. Payment shall be due within thirty (30) calendar days of the invoice date. The Buyer reserves the right to withhold payment for any month in which the Laboratory Technician fails to meet the performance standards outlined in the attached Service Level Agreement. All applicable Value Added Tax (VAT) at the rate of 12% as prescribed by the Tax Code of the Republic of Uzbekistan shall be added to the invoiced amounts unless otherwise exempted by law.

The Seller shall ensure that the Laboratory Technician is fully onboarded, has completed all necessary orientation and safety training, and is ready to commence duties at the Buyer's laboratory facility in Uzbekistan Tashkent no later than 01 August 2025. The Seller shall provide the Buyer with a written confirmation of the Laboratory Technician's identity, qualifications, and medical fitness at least ten (10) business days prior to the commencement date. Failure to meet this deadline shall entitle the Buyer to terminate this Purchase Order without penalty.

6.1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All terms herein shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and applicable labor legislation.

6.2. The Seller warrants that the Laboratory Technician placed under this order shall be legally authorized to work in Uzbekistan Tashkent and shall hold all necessary permits, registrations, and professional licenses.

6.3. The Buyer shall provide the Laboratory Technician with a safe working environment, appropriate personal protective equipment, and access to all laboratory instruments necessary for the performance of duties.

6.4. Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Seller shall use reasonable efforts to source a replacement Laboratory Technician of equivalent qualifications within thirty (30) days.

6.5. All disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court in Tashkent, Uzbekistan.

6.6. The Seller shall maintain full confidentiality regarding the Buyer's proprietary laboratory methods, patient data, and operational procedures. The Laboratory Technician shall be bound by a non-disclosure agreement as a condition of employment.

NOTE: This Purchase Order is subject to final approval by the Buyer's Finance Department and the Head of the Laboratory Division. No obligations arise until both signature blocks below are fully executed. This document is valid for acceptance within fifteen (15) calendar days of the date of issue.
