This Purchase Order is issued by Kabul International Trade & Development Company (KITDC) to engage the services of Adv. Fatima Noor Karimi and her legal team at Rahimi & Associates Legal Counsel LLP for the provision of comprehensive legal advisory and representation services. The engagement of this Lawyer is required to support the company's ongoing commercial operations, regulatory compliance, and dispute resolution matters within the jurisdiction of Kabul, Afghanistan, and the broader Republic of Afghanistan.

Payment shall be made in monthly installments within fifteen (15) business days of receipt of an approved invoice from the Lawyer and legal team.
All payments shall be processed via bank transfer to the designated account of Rahimi & Associates Legal Counsel LLP at Kabul Bank, Branch: Wazir Akbar Khan, Kabul, Afghanistan. Account No.: 0045-8821-3376.
A retention of five percent (5%) shall be withheld from each monthly payment and released upon successful completion of the full twelve-month engagement period.
Any additional services beyond the scope defined in this Purchase Order shall require a written amendment signed by both parties before work commences.
All applicable taxes, including Value Added Tax (VAT) as prescribed by the Afghanistan Revenue Authority, shall be borne by the Purchaser unless otherwise stated in the invoice.

Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Islamic Republic of Afghanistan. Any disputes arising from this Purchase Order shall be resolved through the competent courts located in Kabul, Afghanistan, or through binding arbitration administered by the Kabul Arbitration Center, unless both parties agree otherwise in writing.
Confidentiality: The Lawyer and all members of the legal team shall maintain strict confidentiality regarding all business information, trade secrets, and proprietary data of KITDC. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Professional Standards: The Lawyer shall perform all services in accordance with the Code of Professional Conduct established by the Afghanistan Bar Association and shall maintain all necessary licenses and registrations to practice law in Kabul and throughout the Republic of Afghanistan.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach by the Lawyer, KITDC reserves the right to terminate immediately upon written notice. Upon termination, all fees for services rendered up to the date of termination shall be payable.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in Kabul, Afghanistan.
Compliance: The Lawyer warrants that all services shall comply with the Anti-Money Laundering (AML) regulations of Afghanistan, the Afghanistan Revenue Authority tax codes, and all applicable local and national legislation in force in Kabul.
Language: All legal documents, correspondence, and filings produced under this Purchase Order shall be prepared in both Dari (Farsi) and English, with the Dari version prevailing in the event of any discrepancy, in accordance with the legal requirements of the Republic of Afghanistan.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of legal services in Kabul, Afghanistan. This document constitutes a binding agreement between the Purchaser and the Lawyer upon execution by both authorized representatives.
