This Purchase Order is issued by SARL Algiers Industrial Holdings to formally engage the services of the above-named Lawyer and legal firm for the provision of comprehensive legal counsel and representation in the city of Algeria Algiers. The scope of engagement encompasses the following specific legal services:

4. Terms and Conditions

Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, including the Algerian Commercial Code, the Code of Civil Procedure, and the Ordinance No. 71-75 of 28 July 1971 governing the legal profession as amended.
Place of Performance: All legal services shall be performed primarily at the offices of the Lawyer located in Algiers, Algeria, or at the premises of the Purchasing Entity in Hydra, Algiers, as mutually agreed upon in writing.
Payment Schedule: Payment for fixed-fee services shall be due within thirty (30) calendar days from the date of invoice issuance. The monthly retainer fee shall be payable in advance on the first business day of each calendar month. All payments shall be made via bank transfer to the account designated by the Lawyer's firm.
Confidentiality: The Lawyer and all members of the legal firm shall maintain strict professional confidentiality regarding all information, documents, and business matters disclosed by the Purchasing Entity in connection with this Purchase Order, in accordance with the professional ethics code of the Barreau d'Alger.
Conflict of Interest: The Lawyer warrants that no conflict of interest exists or shall arise during the term of this engagement. The Lawyer shall immediately notify the Purchasing Entity in writing should any potential conflict emerge.
Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and all original documents and files shall be returned to the Purchasing Entity.
Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be submitted to the competent courts of Algiers, Algeria. The parties agree to attempt amicable resolution through mediation before initiating any judicial proceedings.
Professional Fees and Expenses: All court fees, registration fees, notary costs, and third-party expert fees incurred in the performance of the services shall be borne by the Purchasing Entity and shall be itemized separately on the monthly invoice.
Validity: This Purchase Order shall remain valid for a period of ninety (90) days from the date of issue. If not accepted and signed by the Lawyer within this period, it shall lapse automatically.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Algiers, Algeria.

5. Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of legal services. The Lawyer confirms acceptance of the scope of work, fees, and terms set forth herein, and agrees to perform all services with the diligence and professional competence expected of a member of the Barreau d'Alger, Algeria.
