This Purchase Order is issued by Meridian Corporate Holdings S.A. (hereinafter referred to as the “Client”) to procure the professional legal services of Me. Annelise De Smet and her firm, Cabinet Juridique De Smet & Partners (hereinafter referred to as the “Lawyer” or the “Legal Service Provider”), to be rendered in and around Brussels, Belgium, in accordance with the Belgian legal framework and the professional rules of the Brussels Bar Council (Ordre des Barreaux de Bruxelles).

The Lawyer shall provide the following specific legal services as detailed in this Purchase Order:

All amounts are denominated in Euro (EUR). Payment shall be made via bank transfer to the Lawyer’s designated account at BNP Paribas Fortis, Brussels, Belgium (IBAN: BE68 5230 0001 2345 67, BIC: GEBABEBB). Invoices issued by the Lawyer shall reference this Purchase Order number (PO-BE-BRU-2025-04782) and shall be issued in accordance with the Belgian invoicing regulations (Arrêté royal du 27 mars 2019 relatif aux factures).

4.1 Payment Terms. The Client shall pay each invoice issued by the Lawyer within thirty (30) calendar days from the date of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate as determined by the Belgian National Bank (Banque nationale de Belgique) pursuant to Article 5 of the Belgian Law of 2 August 2002 on late payment in commercial transactions.

4.2 Professional Conduct and Ethics. The Lawyer shall perform all services in strict compliance with the professional rules and ethical code of the Brussels Bar Council (Règlement intérieur de l’Ordre des Barreaux de Bruxelles), the Royal Decree of 2 July 2010 on the legal profession, and the general principles of Belgian professional ethics. The Lawyer shall maintain the highest standards of confidentiality, independence, and loyalty to the Client as mandated by Belgian law.

4.3 Confidentiality and Data Protection. All information, documents, and communications exchanged in the course of this Purchase Order shall be treated as strictly confidential. The Lawyer shall comply with the Belgian Data Protection Act and the GDPR in the processing of any personal data. A separate Data Processing Agreement (DPA) shall be executed prior to the commencement of services.

4.4 Professional Liability Insurance. The Lawyer warrants that she maintains, and shall continue to maintain throughout the duration of this Purchase Order, a valid professional liability insurance policy with a minimum coverage of EUR 1,000,000 per claim, as required by the Brussels Bar Council. A certificate of insurance shall be provided to the Client upon request.

4.5 Scope and Limitations. The services described in Section 2 constitute the full scope of this Purchase Order. Any additional legal services, including but not limited to court appearances before the Brussels Court of First Instance (Tribunal de première instance de Bruxelles), the Brussels Court of Appeal (Cour d’appel de Bruxelles), or the Belgian Court of Cassation (Cour de cassation), shall require a written amendment to this Purchase Order signed by both parties.

4.6 Termination. Either party may terminate this Purchase Order by providing thirty (30) days’ written notice to the other party. Upon termination, the Client shall pay for all legal services rendered up to the effective date of termination. The Lawyer shall return all Client documents and files within fifteen (15) days of termination, in accordance with Belgian professional rules on the handling of client files.

4.7 Dispute Resolution. Any dispute arising out of or in connection with this Purchase Order shall be resolved by the competent courts of Brussels, Belgium, or, at the Client’s election, by arbitration seated in Brussels under the rules of the ICC International Court of Arbitration. The language of the arbitration shall be English. The parties irrevocably submit to the exclusive jurisdiction of the Brussels courts for any interim or conservatory measures.

4.8 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium, without regard to its conflict-of-law principles. The Brussels-Capital Region specific regulations, where applicable, shall also apply.

This Purchase Order is hereby authorized, executed, and made binding upon the parties as of the date first written above. By signing below, each party acknowledges that it has read, understood, and agrees to all terms and conditions set forth in this document. This Purchase Order constitutes a binding commitment to procure the legal services of the Lawyer as described herein, in the jurisdiction of Belgium, Brussels.
