  1. Governing Law: This Purchase Order and the engagement of the Lawyer shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Ontario, Toronto Region.
  2. Professional Standards: The Lawyer shall perform all services in strict compliance with the Law Society of Ontario Rules of Professional Conduct and the Code of Professional Conduct. The Lawyer warrants that all services will be rendered with the competence, diligence, and ethical standards expected of a licensed Barrister and Solicitor in Canada Toronto.
  3. Confidentiality: All information, documents, and communications exchanged pursuant to this Purchase Order shall be treated as privileged and confidential in accordance with solicitor-client privilege under Canadian law. The Lawyer shall not disclose any client information to third parties without the prior written consent of the Purchasing Entity, except as required by law or court order.
  4. Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of the invoice date via electronic funds transfer (EFT) to the account designated by the Lawyer. Late payments shall accrue interest at the rate prescribed under the Interest Act (Canada) or the rate specified in the retainer agreement, whichever is greater.
  5. Disbursements and Expenses: All court filing fees, service of process costs, expert witness fees, travel expenses within Canada Toronto, and other reasonable out-of-pocket disbursements shall be billed at cost with supporting receipts. No disbursement exceeding CAD $500.00 shall be incurred without prior written authorization from the Purchasing Entity.
  6. Scope Limitations: This Purchase Order covers only the services enumerated in Section 3. Any additional legal work requested by the Purchasing Entity shall require a written amendment to this Purchase Order or a separate engagement letter signed by both parties.
  7. Termination: Either party may terminate this Purchase Order and the associated legal engagement upon thirty (30) days written notice. Upon termination, the Lawyer shall render a final account of all fees and disbursements incurred to date and shall return all client documents and files within fourteen (14) days.
  8. Conflict of Interest: The Lawyer warrants that no conflict of interest exists or is anticipated in providing the services described herein. The Lawyer shall immediately notify the Purchasing Entity in writing should any potential conflict arise during the term of this Purchase Order.
  9. Insurance: The Lawyer maintains professional liability insurance in an amount not less than $5,000,000 per claim, as required by the Law Society of Ontario, and shall provide a certificate of insurance upon request.
  10. Compliance with Canadian Tax Law: All fees are stated in Canadian Dollars (CAD). Harmonized Sales Tax (HST) at the applicable Ontario rate of 13% shall be added to all taxable legal services as required by the Excise Tax Act (Canada).

By signing below, the Purchasing Entity authorizes the expenditure of funds as outlined in this Purchase Order and formally engages the Lawyer for the legal services described. The Lawyer acknowledges receipt of this Purchase Order and agrees to perform the services in accordance with the terms set forth herein and the applicable laws of Canada Toronto and the Province of Ontario.
