This Purchase Order is issued by Andes Corporate Holdings SpA (hereinafter referred to as the "Client") to engage the services of Dr. Valentina Ríos Contreras and her firm Ríos & Asociados Legal Counsel SpA (hereinafter referred to as the "Lawyer" or "Counsel") for the provision of comprehensive legal advisory and representation services within the jurisdiction of Santiago, Chile. The Lawyer shall act as the Client's retained legal counsel for the duration specified herein.

All rates are quoted in Chilean Pesos (CLP) and are inclusive of IVA (Impuesto al Valor Agregado) at the current statutory rate of 19% as established by the Servicio de Impuestos Internos (SII) of Chile. Exchange rate reference: 1 USD = 925.62 CLP (BCU rate, June 2025).
- Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Santiago, Chile. The Lawyer acknowledges that all professional services shall be performed in compliance with the Código de Ética del Abogado issued by the Ilustre Colegio de Abogados de Santiago.
- Scope of Engagement: The Lawyer shall provide all legal services exclusively within the territory of Chile, with primary performance location in Santiago. The Lawyer shall not delegate any material portion of the services to third parties without prior written consent from the Client. All work product, legal opinions, and correspondence shall be prepared in both Spanish and English to facilitate the Client's international operations.
- Payment Terms: Payment shall be made in Chilean Pesos via electronic bank transfer (transferencia electrónica) to the account designated by the Lawyer. Invoicing shall follow the Chilean electronic invoicing system (Facturación Electrónica) as mandated by the SII. Payment is due within thirty (30) calendar days from the date of receipt of a valid electronic invoice (factura electrónica). Late payments shall accrue interest at the rate established by the Banco Central de Chile.
- Confidentiality and Professional Secrecy: The Lawyer shall maintain strict confidentiality over all information received in the course of this engagement, in accordance with Article 1762 of the Chilean Civil Code and the professional secrecy obligations imposed by the Código de Ética del Abogado. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Conflict of Interest: The Lawyer warrants that, as of the date of this Purchase Order, no conflict of interest exists between the services to be rendered and any other client matter. The Lawyer shall immediately notify the Client in writing should any potential conflict arise during the term of this engagement in Santiago, Chile.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Client shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all Client documents and work product within ten (10) business days of termination.
- Professional Liability Insurance: The Lawyer shall maintain professional liability insurance (seguro de responsabilidad profesional) with a minimum coverage of CLP $50,000,000, issued by an insurer authorized to operate in Chile, for the entire duration of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters (including seismic events common to the Santiago region), government actions, or pandemics, as recognized under Chilean law.
This Purchase Order constitutes a binding commitment upon signature by both parties. By signing below, the Client authorizes the expenditure of funds as detailed herein, and the Lawyer accepts the engagement and agrees to perform all services in accordance with the terms set forth in this document, within the jurisdiction of Santiago, Chile.

This Purchase Order is issued in the city of Santiago, Chile, and all communications, notices, and legal proceedings related to this document shall be directed to the addresses specified above. The Client reserves the right to request a detailed time-and-expense report from the Lawyer on a bi-weekly basis. All deliverables shall be submitted in both digital (PDF) and physical format to the Client's offices in Las Condes, Santiago. This document is valid only for the procurement of legal services as described and does not constitute a retainer agreement for general legal counsel beyond the scope specified herein.
