This Purchase Order is issued by Guangzhou Pacific Trading Co., Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of a qualified Lawyer and legal team from Chen & Associates Law Firm (hereinafter referred to as the "Supplier") for comprehensive legal representation and advisory services. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements related to the engagement of the Lawyer in the jurisdiction of China Guangzhou. The Buyer acknowledges that the Lawyer engaged under this Purchase Order shall operate in full compliance with the Lawyers Law of the People's Republic of China and all applicable regulations of the Guangdong Provincial Judicial Administration Bureau.

3.1 — The Lawyer engaged under this Purchase Order shall be a duly licensed attorney registered with the Guangdong Provincial Bar Association and shall maintain all professional indemnity insurance required by the China Guangzhou legal regulatory framework for the duration of this engagement.

3.2 — All legal work, correspondence, and deliverables produced by the Lawyer in connection with this Purchase Order shall be conducted primarily at the Supplier's offices located in China Guangzhou, unless otherwise agreed in writing by both parties.

3.3 — The Buyer shall make payment within thirty (30) calendar days of receipt of a valid invoice from the Lawyer. Payment shall be made via bank transfer to the account designated by Chen & Associates Law Firm in China Guangzhou. Late payments shall incur interest at a rate of 0.05% per day.

3.4 — The Lawyer shall maintain strict confidentiality regarding all information, documents, and trade secrets disclosed by the Buyer in the course of performing services under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

3.5 — The Lawyer shall provide the Buyer with a written progress report on the first business day of each month detailing all work performed, hours billed, and anticipated next steps under this Purchase Order.

3.6 — In the event of a dispute arising from or in connection with this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the China Guangzhou Arbitration Commission for binding arbitration in accordance with its then-current rules of procedure.

3.7 — This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the Civil Code of the PRC and the Lawyers Law of the PRC. The place of performance for all obligations under this Purchase Order shall be China Guangzhou, Guangdong Province.

3.8 — Either party may terminate this Purchase Order with thirty (30) days' prior written notice. Upon termination, the Buyer shall pay the Lawyer for all services rendered up to the effective date of termination, and the Lawyer shall return all Buyer documents and materials within seven (7) business days.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order. The Buyer authorizes the Lawyer to act on its behalf in all matters described herein within the jurisdiction of China Guangzhou. The Supplier confirms that the designated Lawyer possesses the requisite qualifications, experience, and professional standing to fulfill the obligations outlined in this Purchase Order.
