  1. Governing Law and Jurisdiction: This Purchase Order and all legal services rendered hereunder shall be governed by and construed in accordance with the laws of the People's Republic of China, including the Civil Code of the PRC, the Company Law of the PRC, and the Lawyers Law of the PRC. Any disputes arising from or in connection with this Purchase Order shall be submitted to the Shanghai International Arbitration Center (SHIAC) for arbitration in Shanghai, in accordance with its then-current arbitration rules. The seat of arbitration shall be Shanghai, and the language of arbitration shall be English.
  2. Professional Qualification of the Lawyer: The Service Provider warrants that the Lead Lawyer, Ms. Lin Xiaowei, Esq., holds a valid practicing license issued by the Shanghai Bar Association and the Ministry of Justice of the PRC. The Lawyer shall maintain professional indemnity insurance with a minimum coverage of CNY 5,000,000 throughout the term of this Purchase Order. Any substitution of the Lead Lawyer requires prior written consent from the Buyer.
  3. Confidentiality and Data Protection: The Lawyer and all associated personnel shall comply with the Personal Information Protection Law of the PRC (PIPL) and the Data Security Law of the PRC. All documents, trade secrets, and confidential information provided by the Buyer in connection with this Purchase Order shall be treated as strictly confidential. No data shall be transferred outside the territory of the People's Republic of China without prior written approval and compliance with the Cross-Border Data Transfer regulations issued by the Cyberspace Administration of China.
  4. Payment Schedule: Payment shall be made in three (3) installments: (a) 40% (CNY 259,488.00) upon execution of this Purchase Order; (b) 40% (CNY 259,488.00) upon completion of the due diligence report and delivery of the draft Share Purchase Agreement; and (c) 20% (CNY 129,744.00) upon final delivery of all legal opinions and compliance memoranda. All payments shall be made via bank transfer to the Service Provider's designated account at Bank of China, Shanghai Pudong Branch, within thirty (30) calendar days of receipt of a valid VAT invoice (fapiao) issued in accordance with the Measures for the Administration of Invoices of the PRC.
  5. Scope Limitation: The services described in Section 3 constitute the entirety of the legal engagement. Any additional work, including but not limited to court appearances beyond the estimated hours, additional regulatory filings, or services related to jurisdictions outside Shanghai Municipality, shall be subject to a separate written amendment to this Purchase Order and shall be billed at the hourly rates specified herein or as otherwise agreed in writing.
  6. Compliance with Shanghai Municipal Regulations: The Lawyer shall ensure that all legal advice and documents prepared under this Purchase Order comply with the Shanghai Municipal Regulations on the Administration of Foreign-Invested Enterprises, the Shanghai Free Trade Pilot Zone regulations (where applicable to the Lingang Special Area), and any circulars or guidance issued by the Shanghai Municipal Bureau of Justice.
  7. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Service Provider shall return all Buyer documents and materials within five (5) business days of termination.
  8. Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure results from events beyond its reasonable control, including but not limited to natural disasters, government actions, or public health emergencies as defined under the Civil Code of the PRC.
  9. Notices: All formal notices under this Purchase Order shall be delivered in writing to the addresses specified in Sections 1 and 2 above, or to such other address as either party may designate in writing. Notices delivered by registered mail within Shanghai Municipality shall be deemed received three (3) business days after posting.

By signing below, the Buyer authorizes the Purchase Order and engages the Lawyer for the legal services described herein. The Service Provider acknowledges receipt of this Purchase Order and agrees to perform the legal services in accordance with the terms set forth above, the professional ethical standards of the Shanghai Bar Association, and all applicable laws of the People's Republic of China.
