This Purchase Order is issued by Horizon Trade & Investment PLC (hereinafter referred to as the "Buyer") to formally engage the services of a qualified Lawyer, Advocate Selam Bekele, representing Bekele, Alemu & Partners Legal Associates (hereinafter referred to as the "Seller"), for the provision of comprehensive legal advisory and representation services. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, and all disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Ethiopia Addis Ababa.

2.1 Scope of Engagement: The Lawyer engaged under this Purchase Order shall act solely in the capacity of external legal counsel to the Buyer. The scope of services is strictly limited to those enumerated in Section 1 above. Any additional legal work beyond the stated scope shall require a written amendment to this Purchase Order, signed by both parties, before commencement.
2.2 Professional Standards: The Lawyer shall perform all duties with the degree of skill, care, and diligence expected of a qualified advocate registered with the Federal Court of Ethiopia and the Addis Ababa City Bar Association. The Lawyer shall comply with the Code of Professional Conduct for Advocates of Ethiopia and shall maintain strict confidentiality regarding all information disclosed by the Buyer.
2.3 Payment Schedule: Payment for the retained monthly counsel fee (Item 1.1) shall be made on the first business day of each calendar month. Fees for discrete matters (Items 1.2 through 1.5) shall be invoiced upon completion of the respective service and shall be payable within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the Seller's designated account at Commercial Bank of Ethiopia, Addis Ababa branch.
2.4 Expenses and Disbursements: Court filing fees, official government charges, travel expenses within Ethiopia Addis Ababa, and third-party expert costs shall be billed separately at actual cost with supporting receipts. The Buyer shall reimburse such disbursements within fifteen (15) days of presentation.
2.5 Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. Should a conflict emerge, the Lawyer shall immediately notify the Buyer in writing and shall withdraw from the engagement without prejudice to either party.
2.6 Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Seller shall return all documents and confidential materials belonging to the Buyer within seven (7) days of termination.
2.7 Governing Law and Dispute Resolution: This Purchase Order shall be governed by the Civil Code of Ethiopia, the Commercial Code of Ethiopia, and applicable federal and regional legislation. Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the competent commercial court in Ethiopia Addis Ababa.
2.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest in Ethiopia Addis Ababa, provided that the affected party gives prompt written notice.
2.9 Entire Agreement: This Purchase Order, together with any written amendments hereto, constitutes the entire agreement between the parties with respect to the engagement of the Lawyer for the services described herein and supersedes all prior negotiations, representations, and agreements.
3. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order. The Buyer authorizes the release of funds as per the payment schedule, and the Seller confirms acceptance of the engagement to provide legal services as a qualified Lawyer in Ethiopia Addis Ababa.
