This Purchase Order is issued to engage the services of Maître Antoine Meissonnier and his legal team at Cabinet Meissonnier & Associés, a registered law firm practising in Marseille, France, to provide comprehensive legal counsel and representation in connection with the matters described below. - Governing Law and Jurisdiction: This Purchase Order and all legal services rendered hereunder shall be governed by the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, located at 12 Rue de la République, 13001 Marseille, France, unless mandatory provisions of French law provide otherwise.
- Professional Independence of the Lawyer: The undersigned acknowledges that Maître Meissonnier, as a member of the Barreau de Marseille, exercises his professional duties with full independence in accordance with Article 2 of the Code de déontologie des avocats. The terms of this Purchase Order shall not be construed as creating an employment relationship. The Lawyer retains full discretion over legal strategy and professional judgment.
- Confidentiality and Professional Secrecy: All information, documents, and communications exchanged in the course of this engagement are subject to the French attorney-client privilege (secret professionnel de l'avocat) as defined in Articles 66-1 and 66-5 of the Code de procédure pénale. The Lawyer and all members of his firm shall maintain strict confidentiality and shall not disclose any information to third parties without the prior written consent of the Purchasing Entity.
- Payment Terms: Invoices issued by the Lawyer shall be payable within thirty (30) calendar days from the date of receipt by the Purchasing Entity, by bank transfer (virement bancaire) to the account designated by Cabinet Meissonnier & Associés. A late payment penalty of 1.5% per month shall apply in accordance with Article L441-10 of the Code de commerce. Payment shall be made in Euros (EUR) to the following IBAN: FR76 3000 4000 0312 3456 7890 123.
- Disbursements and Out-of-Pocket Expenses: All court filing fees (frais de greffe), expert witness fees, travel expenses incurred within the Marseille metropolitan area, and third-party costs (notary fees, INPI filing fees) shall be billed at actual cost with supporting receipts. Such disbursements are excluded from the flat-fee amounts listed in Section 3 and shall be invoiced separately.
- Performance Period: The services described in Items 01 through 05 shall be completed no later than 31 December 2025. The ongoing advisory service described in Item 06 shall commence on 1 July 2025 and continue for a period of six (6) months, renewable by mutual written agreement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' prior written notice. In the event of termination, the Lawyer shall be entitled to payment for all services rendered and expenses incurred up to the effective date of termination. The Purchasing Entity shall be entitled to a full refund of any pre-paid amounts for services not yet performed.
- Insurance and Professional Liability: The Lawyer warrants that he maintains adequate professional indemnity insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €1,000,000 per claim, as required by the Barreau de Marseille. A certificate of insurance shall be provided upon request.
- Anti-Corruption and Compliance: Both parties warrant compliance with all applicable French and EU anti-corruption legislation, including the Sapin II Law (Loi n° 2016-1691 du 7 décembre 2016). The Lawyer confirms that no conflict of interest exists in connection with this engagement and that he has declared any potential conflicts in accordance with the rules of the Barreau de Marseille.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events of force majeure as defined under Articles 1218 and 1219 of the French Civil Code, including but not limited to natural disasters affecting the Marseille region, government-mandated closures, or acts of war.
This Purchase Order constitutes a formal and binding request for legal services. By signing below, the Purchasing Entity authorizes the Lawyer to commence the engagement as described herein. The Lawyer's acceptance of this Purchase Order shall be evidenced by his written confirmation and the issuance of a formal engagement letter (lettre de mission) in accordance with the professional rules of the Barreau de Marseille.
