This Purchase Order is issued by Meridian Corporate Holdings GmbH, a corporation registered in Frankfurt, Germany, to engage the services of Dr. Katharina Steinbach, a licensed Lawyer admitted to the Frankfurt am Main Bar Association, for the provision of comprehensive legal advisory and representation services. This Purchase Order governs the scope, compensation, and terms under which the Lawyer shall perform professional legal duties on behalf of the Purchasing Entity. All services rendered under this Purchase Order shall be performed in accordance with the professional standards established by the Federal Bar Association (Bundesrechtsanwaltskammer) and the applicable regulations of the State of Hesse, Germany.
The Lawyer engaged under this Purchase Order shall provide the following professional services to Meridian Corporate Holdings GmbH, all to be conducted from the firm's offices in Frankfurt, Germany, or as otherwise mutually agreed in writing:

Payment for all services rendered under this Purchase Order shall be made via bank transfer (SEPA) to the account of the Lawyer as follows: Steinbach & Partner Rechtsanwälte, IBAN: DE44 5001 0517 5400 0012 34, BIC: PBNKDEFF, Bank: Commerzbank AG, Frankfurt am Main. Invoices shall be issued monthly in arrears and are payable within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB). The Purchasing Entity reserves the right to withhold payment for any disputed line items pending written resolution by the Lawyer.
- Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany, unless mandatory provisions of the German Code of Civil Procedure (ZPO) provide otherwise.
- Professional Conduct: The Lawyer shall perform all duties with the diligence and competence expected of a reasonably prudent attorney admitted to the Frankfurt am Main Bar Association, in full compliance with the Federal Lawyers' Act (Bundesrechtsanwaltsordnung – BRAO) and the Professional Rules for Lawyers (Berufsordnung für Rechtsanwälte – BORA).
- Confidentiality: The Lawyer shall maintain strict professional secrecy (anwaltsgeheimnis) in accordance with Section 43 of the BRAO. All documents, communications, and information obtained in the course of this engagement shall be treated as confidential and shall not be disclosed to any third party without the prior written consent of the Purchasing Entity, except as required by law.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or shall arise during the term of this Purchase Order. The Lawyer shall immediately notify the Purchasing Entity in writing should any potential conflict emerge.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and shall deliver all work product and files to the Purchasing Entity within fourteen (14) days.
- Professional Liability Insurance: The Lawyer confirms that valid professional liability insurance (Berufshaftpflichtversicherung) is maintained in accordance with Section 51 of the BRAO, with a minimum coverage of € 1,000,000 per claim and € 2,000,000 in the aggregate per policy year.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics, provided that the affected party gives prompt written notice.
- Entire Agreement: This Purchase Order, together with any written amendments thereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements relating to the engagement of the Lawyer.
By signing below, both parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order. The Purchasing Entity authorizes the Lawyer to commence the legal services described herein effective as of the date of the last signature below. This Purchase Order is valid for a period of twelve (12) months from the date of execution, unless terminated earlier in accordance with Section 4, Paragraph 5.
