Description of Purchase Order — Legal Services Rendered by LawyerThis Purchase Order is issued by Nusantara Corporate Ventures PT (hereinafter referred to as the "Purchaser") to formally engage the services of Dr. (H.C.) Andi Wijaya and the legal team at Wijaya & Partners Law Office (hereinafter referred to as the "Lawyer" or "Legal Counsel") for the provision of comprehensive legal advisory and representation services. This Purchase Order governs the scope, compensation, and conditions under which the Lawyer shall perform professional legal duties on behalf of the Purchaser within the jurisdiction of Indonesia Jakarta and its surrounding metropolitan areas, in full compliance with the Indonesian Legal Profession Law (Undang-Undang No. 18 Tahun 2003) and the Code of Ethics of the Indonesian Bar Association (Peradi).

- Governing Law and Jurisdiction: This Purchase Order and all legal services rendered by the Lawyer shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts located in Indonesia Jakarta, specifically the Jakarta Central District Court, unless otherwise agreed in writing by both parties.
- Professional Qualification of the Lawyer: The Lawyer and all associated attorneys engaged under this Purchase Order must hold a valid practicing certificate (Surat Kuasa Khusus / SKA) issued by the Indonesian Bar Association (Peradi) and must be in good standing with the legal profession in Indonesia Jakarta. The Purchaser reserves the right to request proof of licensure prior to the commencement of services.
- Confidentiality and Professional Privilege: The Lawyer shall maintain strict confidentiality over all information, documents, and communications received in the course of performing services under this Purchase Order. This obligation of confidentiality shall survive the termination of this Purchase Order for a period of five (5) years, in accordance with the professional ethics code of the Indonesian legal profession.
- Payment Schedule: The Purchaser shall remit payment within thirty (30) calendar days from the date of receipt of a valid tax invoice (faktur pajak) issued by the Lawyer. Payment shall be made via bank transfer to the account designated by Wijaya & Partners Law Office. All amounts are stated in Indonesian Rupiah (IDR) and are subject to applicable Value Added Tax (PPN) at the prevailing rate of 11%.
- Scope Limitation: The services described in the line items above constitute the full scope of this Purchase Order. Any additional legal work requested by the Purchaser beyond the stated hours or scope shall require a written amendment to this Purchase Order, signed by both parties, prior to the commencement of such additional work.
- Performance Period: The Lawyer shall perform all services under this Purchase Order within a period of one hundred and twenty (120) calendar days from the date of acceptance, unless otherwise specified in the individual line items. All court appearances and regulatory filings must be scheduled and executed within the applicable deadlines set by the relevant authorities in Indonesia Jakarta.
- Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) days. Upon termination, the Purchaser shall pay for all services rendered up to the date of termination. The Lawyer shall return all documents and materials belonging to the Purchaser within seven (7) days of the termination notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting Indonesia Jakarta, provided that the affected party notifies the other in writing within forty-eight (48) hours of the occurrence.
- Anti-Corruption and Compliance: The Lawyer warrants that no part of the compensation under this Purchase Order shall be used for any form of bribery, kickback, or improper payment to any government official, court officer, or third party in Indonesia Jakarta, in strict compliance with Indonesian Anti-Corruption Law (UU No. 31 Tahun 1999 jo. UU No. 20 Tahun 2001).
- Entire Agreement: This Purchase Order, together with any written amendments hereto, constitutes the entire agreement between the Purchaser and the Lawyer with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Lawyer's professional legal services in Indonesia Jakarta. This Purchase Order becomes effective upon the execution of signatures by both the authorized representative of the Purchaser and the Lead Attorney of the Law Firm.
